During the term of this engagement, and as mutually agreed upon by XXXXX and the Company, XXXX will act as sole manager, bookrunner, placement agent, arranger or initial purchaser, as the case may be, in connection with the structuring,
issuance, sale or placement (any or all of the foregoing, the "Transaction"), whether in a
public or private transaction, of debt instruments, including, but not limited to, high-yield
notes, mezzanine notes or term loans (collectively, "Debt Instruments").
Notwithstanding the foregoing, it is understood and agreed that Jefferies reserves the right not to participate in any proposed Transaction, and the foregoing is not an agreement by XXXX to underwrite, place or purchase any Debt Instruments. In connection with any Transaction in which Jefferies elects to participate, the Company shall enter into an underwriting agreement, placement agency agreement, credit agreement or purchase agreement, as applicable, with XXXXX, which agreement shall be based on XXXXX ' customary form for the applicable Transaction (a "Definitive Agreement"). XXXX shall have no obligation hereunder to act as underwriter, placement agent, arranger or initial purchaser with respect to any Debt Instruments unless and until XXXXX has executed a Definitive Agreement.

(A) In order to appropriately communicate, coordinate and achieve the projects, the Parties will each assign 2 permanent representatives in order to set up the Management Committee (MC). The representatives will have the right to voice their opinion on the issues discussed in the sessions of MC. Each Party will have the right to change their representatives at any time by written notice sent to the other Party.
(B) The MC chairman will be appointed in the first year by BDB and the vice-chairman will be the representative assigned by GSK. Each year the positions of chairman and vice-chairman will be granted by rotation. Te MC chairman will chair the sessions thereof. In the absence of the chairman, the vice-chairman will be appointed interim chairman. According to necessities, the Parties may assign a reasonable number of consultants, experts or foreign consultants, who can participate to all or only some sessions as consultants, without the right to vote.
(C) The ordinary MC sessions will be held at least once every calendar semester; extraordinary sessions, if needed, may be convened at the request of any Party, by sending a previous notice at least 15 days in advance to the other Party, indicating the date, hour and place of the session an the agenda thereof, and the session place may be any place agreed by MC from time to time. The usual place of convening the sessions will be the Honduras Republic capital city, TEGUCIGALPA.
