__________________, именуемое в дальнейшем “Продавец”, в лице генерального директора ___________________________________, действующего на основании устава, с одной стороны, и ______________________, именуемое в дальнейшем “Покупатель”, в лице генерального директора _______________, действующего на основании устава, с другой стороны, заключили настоящий договор о нижеследующем.
1. Предмет договора
1.1. Продавец продает, а Покупатель принимает и оплачивает автомобиль (далее – Автомобиль):

2. Права и обязанности сторон
2.1. Продавец обязуется:
2.1.1. Передать Автомобиль Покупателю в течение трех календарных дней со дня оплаты Покупателем его стоимости.
2.1.2. Выдать доверенность на право распоряжения Автомобилем на лицо из числа работников Покупателя.
2.2. Покупатель обязуется:
2.2.1. Принять и оплатить Автомобиль.
2.2.2. Поставить Автомобиль на учет в органах ГИБДД.
3. Стоимость и порядок оплаты
3.1. Продажная цена Автомобиля определена соглашением сторон и составляет ___________ (________________) руб., включая НДС.
3.2. Покупатель перечисляет сумму, указанную в п. 3.1 договора на расчетный счет Продавца в течение 5 календарных дней со дня подписания сторонами настоящего договора.
4. Ответственность сторон и порядок разрешения споров
4.1. За просрочку исполнения обязательств по настоящему договору, сторона, допустившая просрочку, обязана уплатить другой стороне пеню в размере 0,5% продажной стоимости Автомобиля за каждый день просрочки. Уплата пени не освобождает сторону от выполнения обязательства.
4.2. Стороны освобождаются от ответственности за полное или частичное неисполнение своих обязательств по настоящему договору в случае, если такое неисполнение явилось следствием обстоятельств чрезвычайного характера, которые сторона не могла ни предвидеть, ни предотвратить разумными мерами.
4.3. Стороны будут стремиться разрешить все споры и разногласия, которые могут возникнуть из настоящего договора, путем переговоров. В случае недостижения согласия спорные вопросы передаются на разрешение Арбитражного суда г. __________________________.
5. Прочие положения
5.1. Настоящий договор вступает в силу с момента подписания уполномоченными представителями обеих сторон и действует до исполнения сторонами их обязательств.
5.2. Договор составлен в двух экземплярах – по одному для каждой из сторон.

1. The Scope of the Agreement

2.2. The Buyer agrees:
2.2.1. To accept and pay for the Automobile.
2.2.2. To register the Automobile with the State Road Traffic Safety Inspection.
3. Price and Method of Payment
3.1. The sale price of the Automobile is determined by the agreement of the parties and is (__________) rubles, including VAT.
3.2. The Buyer agrees to transfer the amount stated in paragraph 3.1 to the operating account of the Seller within 5 calendar days of the execution of this Agreement by the parties.
4. Liability of the Parties and Dispute Settlement
4.1. In the event of delay in fulfilling obligations under this Agreement the party responsible for the delay is liable to pay to the other party a late fee in the amount of .05% of the sale price of the Automobile for each day of the delay. The payment of the late fee does not release the party from fulfilling the obligations.
4.2. The parties are released from the fulfillment of their obligations under this Agreement in part or in full in cases where such non-fulfillment is due to extraordinary circumstances which the party could neither foresee nor prevent by reasonable means.
4.3. The parties will attempt to resolve all disputes and differences which may result from this Agreement by negotiations. In case an agreement cannot be reached the dispute will be turned in for a decision to the Court of Arbitration of ______________ city.
5. Other Provisions
5.1. This Agreement is valid from the time of execution by the representatives of both parties and is valid until both parties have fulfilled their obligations.
5.2. The Agreement is in two executable copies – one for each party.
