PREÁMBULO
El presente documento tiene como finalidad esencial la cobertura jurídica y organizativa de la asociación “XXXXXXXXX”, la cual viene operando de facto desde el año 2006, fecha en la que los torneos de ajedrez “Torneo Internacional de Ajedrez XXXXXXX”, “XXXXXXXXXX”, “Torneo XXXXXXXX” y [“Torneo de Ajedrez de XXXXXXX”], a los cuales, en el año 2009, se incorporó el torneo “XXXXXXXX”, acordaron la constitución de una asociación, sin ánimo de lucro y de ámbito de actuación internacional, cuyo objetivo fundamental consistió en al organización de un circuito internacional de ajedrez integrado por los referidos torneos ajedrecísticos.
Los estatutos que a continuación se desarrollan, nacen del consenso logrado entre las partes suscriptoras, abarcando los aspectos fundamentales que regirán el funcionamiento de la asociación. Así mismo, con posterioridad a su suscripción, las partes se comprometen al establecimiento de un [Reglamento Técnico] regulador del funcionamiento del torneo organizado por la asociación.
TÍTULO PRIMERO
DISPOSICIONES GENERALES
CAPÍTULO I
Denominación, naturaleza, personalidad y régimen jurídico
ARTÍCULO 1.- Denominación y naturaleza
Bajo la denominación de “XXXXXXXXXXX” (en adelante, el “XXXXXXX” o, simplemente, la “Asociación”), se constituye una asociación privada, sin ánimo de lucro, amparada por la normativa que le es de aplicación.
El XXXXXX tiene naturaleza de entidad privada con arreglo al derecho Español, sin ánimo de lucro, destinada a la promoción de sus fines sociales mediante la aplicación de su patrimonio fundacional y sus demás recursos económicos.
ARTÍCULO 2.- Duración
La Asociación tiene una duración indefinida y dará comienzo a su actividad en el día de su constitución.
ARTÍCULO 3.- Personalidad jurídica
El XXXXXXX goza de personalidad jurídica propia para el desarrollo de sus fines, de forma independiente a la de sus Asociados.
ARTÍCULO 4.- Régimen jurídico
La Asociación se regirá por las disposiciones legales aplicables a las Asociaciones, en particular por la Ley Orgánica 1/2002, de 22 de marzo, reguladora del derecho de asociación, por los presentes Estatutos, por los acuerdos de sus Órganos Sociales, y por las demás disposiciones generales que le sean aplicables.
CAPÍTULO II
Domicilio, ámbito de actuación y fines
ARTÍCULO 5.- Domicilio
La Asociación tiene su domicilio social en [].1
El cambio de domicilio dentro del territorio nacional deberá ser acordado por la Asamblea General.
Así mismo, el traslado del domicilio fuera del territorio español, deberá ostentar, como requisito previo, la disolución y liquidación de la Asociación en los términos estipulados en el Título Quinto de los presentes Estatutos.
ARTÍCULO 6.- Ámbito de actuación
El ámbito de actuación del XXXXX no tendrá limitación geográfica alguna, desarrollando sus actividades en el ámbito internacional, en la medida en que se consideren beneficiosas o convenientes para la consecución de sus fines.
ARTÍCULO 7.- Fines de la Asociación
La Asociación tiene como finalidad la tutela, promoción, reglamentación y organización de un torneo internacional del ajedrez integrado por los torneos ajedrecísticos que son, o puedan ser, organizados por los miembros de dicha asociación
Para garantizar el cumplimiento de los fines estatutarios, la Asociación contará con los medios personales y materiales adecuados.
La Asociación podrá recurrir a personas físicas o jurídicas externas para la consecución de los fines que se propone. En particular, la Asociación mantendrá las líneas de colaboración que, en cada caso concreto, estime como oportunas con la “Fédération Internationale des Échecs” (FIDE) al objeto de establecer relaciones de colaboración profesional y deportiva permanentes entre la Asociación y el citado organismo.
ARTÍCULO 8.- Actividades 2
Para la consecución de los fines referidos en el artículo anterior, la Asociación podrá realizar, con ánimo enunciativo y sin carácter exhaustivo, las siguientes actividades:
a.) Calificar, organizar, desarrollar y tutelar la celebración de un torneo internacional de ajedrez denominado “XXXXX”.
b.) Servir de nexo entre los Asociados que la integran.
c.) Proporcionar información y asistencia a sus Asociados para la participación en torneos deportivos de carácter internacional.
d.) Publicitar los servicios de los Asociados en el marco de la Asociación.
e.) Colaborar con los organismos públicos a los efectos de fomentar el desarrollo de la modalidad deportiva del Ajedrez en el ámbito internacional.

PREAMBLE
The main purpose of this document is the legal and organisational coverage of the association “XXXXXXXXX”, which started operating de facto in year 2006, when the chess tournaments “International Chess Tournament XXXX”, “XXXXX”, “XXXXX Tournament” and [“XXXX Chess Tournament”], joined by “XXXX” tournament in year 2009, agreed on the constitution of a nonprofit association working at an international level, whose main goal was to organise an international chess cycle composed of the previously mentioned chess tournaments.
The following statutes are fruit of the consensus reached between the subscribing parties, covering the fundamental aspects that shall rule the functioning of the association. Likewise, subsequently to their subscription, the parties commit themselves to the establishment of a [Technical Regulation] to regulate the running of the tournament organised by the association.
SECTION ONE
GENERAL PROVISIONS
CHAPTER I
Name, nature, personality and legal status
ARTICLE 1.- Name and nature
Under the name “XXXX” (hereafter, the “Grand Slam” or, simply, the “Association”), a private nonprofit association is established, protected by the applicable legislation.
The nature of the XXXX is that of a private nonprofit entity for the purposes of Spanish law, whose aim is the promotion of its social purposes through the application of its foundation heritage and its other financial resources.
ARTICLE 2.- Duration
The Association has an indefinite duration and shall start functioning on the day of its establishment.
ARTICLE 3.- Legal personality
The XXXX has a legal personality of its own in order to achieve its purposes independently from its Members.
ARTICLE 4.- Legal status
The Association shall be guided by legal provisions applicable to Associations, in particular by Organic Law 1/2002, from March 22, which regulates right of association, by these Statutes, by the agreements reached between its Social Bodies, and by the other applicable general provisions.
CHAPTER II
Location, field of action and purposes
ARTICLE 5.- Location
The head office of the Association is in [].1
A change of location inside national territory shall have to be agreed by the General Assembly.
Likewise, the transfer of the location outside Spanish territory shall have the previous requirement of the winding-up and settlement of the Association following the terms stipulated in Section Five of these Statutes.
ARTICLE 6.- Field of action
The XXXX´s field of action shall have no geographic limit, and so activities shall be carried out at an international level, as long as these are considered beneficial or convenient in achieving the Association´s purposes.
ARTICLE 7.- Purposes of the Association
The aim of the Association is to guard, promote, regulate and organise an international chess tournament composed of the chess tournaments that are, or may be in the future, organised by the members of the Association.
The Association shall have the necessary personal and material resources to guarantee compliance with the statutory purposes
The Association will have the possibility of turning to external natural or legal people in order to achieve its purposes. More particularly, the Association shall keep the level of collaboration with the “Fédération Internationale des Échecs” (FIDE) that it considers convenient in every specific case, in order to establish relations of permanent professional and sporting cooperation between the Association and FIDE.
ARTICLE 8.- Activities 2
In order to achieve the purposes stated in the previous article, the Association may carry out activities including, but not limited to, the following:
a.) To rate, to organise, to develop, and to promote the holding of an international chess tournament denominated “XXXX”.
b.) To act as a nexus between its Members.
c.) To provide its Members with the necessary information and assistance to participate in international sports tournaments.
d.) To publicise the services of its Members within the framework of the Association.
e.) To collaborate with public bodies in order to promote the development of Chess as a sport at an international level.
