Scenario - Company X is considering taking out a loan using shares in its company as collateral. It is being advised that this might not be a good idea так как уже существует ограничение на распоряжение данным пакетом со стороны Совета д-ов Company X. Наличие дополнительного ограничение на акции со стороны банка в случае предоставления кредит под залог could result in certain decisions of the Board of Directors being drawn out or blocked.

I was just going to use 'restriction' but it seems too literal. What does this oграничение consist of?

Any thoughts most welcome. Thanks!

Хочу, однако, добавить, что американские и английские юристы (в нашей фирме) никогда не употребляют disposal, если речь идет об отчуждении, но всегда - transfer.Дело ваше, впрочем :). Удачи!

Thank you for all your help everyone. The problem is I don't have access to any more information. I don't have the articles of association. These are documents from some years ago, and I can't approach the company in question. I think I will just go for a very general 'restrictions on the disposal of the shares by the Board of Directors', as suggested by Igor. I think the main point is that 'restrictions of some kind' apply to the Board.

Это может быть прописано в учредительных документах. Зависит от того, на каком основании было введено это ограничение. В Вашем случае почему возникло ограничение?
