The shareholders shall elect by a majority vote a Board of Directors to hold office until their successors shall be elected and qualified or until sooner displaced, and shall transact such other business as may properly come before the meeting.

The annual meeting of the shareholders for the election of directors and the transaction of such other business as may properly come before the meeting shall be held on the second Tuesday in May of each year, at an hour to be named in the Notice, or if such day be a legal holiday, then on the next succeeding business day, or if not then, at such other date and time as shall be designated from time to time by the Board of Directors and stated in the notice of meeting.
