Pokud kterékoli ustanovení této Dohody je nebo se stane neplatným, nevymahatelným, takováto neplatnost nebo nevymahatelnost nepovede k neplatnosti ostatních ustanovení Dohody kromě případů, kdy jsou ustanovení neoddělitelná. Každá ze smluvních stran souhlasí s tím, že učiní vše k zajištění toho, aby bylo dosaženo původního zamýšleného smyslu a rozsahu původního neplatného ustanovení.
2. Řídící právo
Tato dohoda se řídí a bude vykládána v souladu se zákony České republiky.
3. Kompletnost Dohody
Tato Dohoda obsahuje kompletní znění dohody a vzájemně projednaných vztahů smluvních stran a nahrazuje všechny předchozí dohody, ujednání nebo smlouvy (jak ústní, tak písemné) mezi smluvními stranám, týkající se předmětu této Dohody.
4. Dodatky
Úpravy, dodatky, doplnění, vypuštění některých ustanovení nebo jejich nahrazení v rámci této Dohody nebo úprava podmínek jsou platné pouze, pokud byly provedeny písemně a podepsány každou ze smluvních stran a za každou ze smluvních stran.
5. Vzdání se práva
Jakékoliv odmítnutí porušení kterékoliv z podmínek této Dohody nebo nedodržení této Dohody se považuje za neplatné, pokud nebylo učiněno písemně. Žádné takové odmítnutí se nepovažuje za odmítnutí následného porušení Dohody a nebude mít vliv na podmínky této Dohody.
6. Řešení sporů
6.1. Všechny spory nebo nesrovnalosti vyplývající z této Dohody nebo porušení, ukončení nebo neplatnost této Dohody budou s konečnou platností vyřešeny arbitrážním soudem v souladu s Předpisy arbitráže Komise OSN o mezinárodním obchodním právu („Předpisy UNCITRAL“), v platném znění, a případně mohou být doplněny tímto ustanovením.
6.2. Sídlem a místem konání arbitráže bude Curych ve Švýcarsku. Jazykem arbitrážního řízení bude anglický jazyk. Příslušným orgánem je Švýcarská obchodní komora („ŠHK“).
6.3. Arbitrážní senát bude složen ze tří arbitrů. V souladu se článkem 7 a 8 Předpisů UNCITRAL je každá ze smluvních stran oprávněna jmenovat jednoho arbitra. Dva arbitři potom jmenují třetího arbitra, který bude předsedou arbitrážního senátu.
7. Vyhotovení
Tato Dohoda byla sepsána ve dvou (2) vyhotoveních, z nichž každé bude považováno za originál a všechna vyhotovení dohromady tvoří jeden a týž právní dokument.
Na důkaz čehož oprávnění zástupci smluvních stran připojily své vlastnoruční podpisy k datu prvně uvedenému v této Dohodě.

1. Severability
If any provision of the present Agreement is or shall become ineffective or unenforceable, such ineffectiveness or unenforceability shall not nullify other provisions of the present Agreement, except where these provisions cannot be severed thereof. Each of the contracting parties expressly consents to exercise its utmost effort in reaching of the true meaning and the extent of the original void clause.
2. Jurisdiction
This Agreement is governed by and shall be construed in accordance with the laws of the Czech Republic.
3. Entire Agreement
The present Agreement constitutes an entire agreement and a mutually binding legal relationship between the contracting parties and shall supersede all previous agreements, negotiations or contracts (whether oral or written) made by and between the contracting parties with respect to the subject matter hereof.
4. Amendments
Modifications, supplements, amendments, omissions or replacements of specific provisions stipulated within the framework of the present Agreement or alteration of the terms and conditions shall be only valid if made in writing and signed by and on behalf of each of the contracting parties.
5. Waiver of Rules
Any denial of a violation of any of the terms and conditions stipulated in the present Agreement or a failure to comply with the provisions stated herein shall be deemed invalid unless made in writing. Any such denial shall not imply a denial of a subsequent violation of the Agreement and shall not affect the terms and conditions stated herein.
6. Dispute Resolution
6.1. All disputes or disagreements arising from the present Agreement or with respect to a violation, termination or expiration thereof shall be resolved by the Arbitrary Court and be deemed final pursuant to the Arbitration Rules of the United Nations Commission on International Trade Law (UNCITRAL Arbitration Rules), in effect, and may be possibly supplemented by the following regulation.
6.2. The place and locale of the arbitration proceedings shall be Zurich, Switzerland. The language of the arbitration proceedings shall be English. The applicable arbitration authority shall be the Chamber of Commerce of Switzerland (CCS).
6.3. The arbitral tribunal shall consist of three arbitrators. Pursuant to Article 7 and 8 of the UNCITRAL Arbitration Rules, each of the contracting parties is entitled to appoint one arbitrator. The two appointed arbitrators shall appoint the third arbitrator, who shall chair the arbitral tribunal.
7. Execution
The present Agreement has been written in two (2) counterparts, where each of them shall be regarded as original and all counterparts jointly constitute a single and equally valid document.
In acknowledgement of which, the authorized representatives of the contracting parties personally affix their signatures hereto under the date initially stated in the present Agreement.
