Текст оригинала - английский ARTICLE 19 - CONFIDENTIAL DATA AND INFORMATION
All the data and information, in so far as they are not already in the public domain, obtained or received by the Parties under this Agreement, (“the Information”) will be deemed confidential, and will not be disclosed without the prior authorisation of all the Parties and of the Competent Authorities. However, a Party may, without authorisation, disclose the information to:
(i) Any Affiliate of the Party in question under the condition that it obtains from the Affiliate a written undertaking to maintain confidentiality;
(ii) Any director, manager, employee of the said Party or Affiliate, who must be informed of the confidential nature of the said data and information;
(iii) Any external consultant of a Party or to any external contractor of a Party on condition that he signs a written undertaking to maintain confidentiality;
(iv) Any financial institution or stock exchange institution in so far as their regulations of the said institution or stock exchange require it;
(v) Any administrative entity that is entitled to request the said information as required by the legislation and regulations in force;
(vi) Any tribunal of competent jurisdiction which may request it;
(vii) Any potential good faith assignee of all or part of the interest of the Party in question provided that it obtains from such assignee a written undertaking to protect confidentiality. The disclosure by the Party in question of any information relating to this Agreement to a potential good faith assignee shall require COMPANY A’s prior approval as set out in the respective Association Contracts. The said assignee must undertake through a confidentiality agreement not to disclose the said information to third parties under any circumstances. A certified copy of this confidentiality agreement must be given to COMPANY A by the Partner in question before disclosure of the said information.
ARTICLE 20 - INTELLECTUAL PROPERTY
1.1 Property right
Each Party will remain sole owner of its patents, knowledge and all data which it owns, irrespective of use under this Agreement.
1.2 Use and availability
Notwithstanding the termination or expiry of this Agreement, any item which could be the subject of intellectual or industrial property rights which has been developed within the scope of Unit Petroleum Operations, may be used by each of the Parties and their Affiliates, under the condition that the latter have signed a confidentiality agreement.
Each Party and its Affiliates will have the right to use intellectual and property rights, without paying royalties, and to this effect, a non-exclusive licence will be granted to them, for their own operations, or for operations that they will conduct and in which the Party or one of its Affiliates will have an interest, it being understood that, in this case, the third-parties or the Affiliates that participate in the said operations will previously have signed a confidentiality agreement.

Все сведения и информация, не находящиеся уже в публичном поле, полученные или обретенные Сторонами по настоящему Соглашению («Информация») считаются конфиденциальными и не подлежат разглашению без предварительного разрешения всех Сторон и Компетентных органов. Вместе с тем, одна из Сторон может, без разрешения, сообщить такую информацию:
(i) Любому Филиалу соответствующей Стороны при условии, что она получит от Филиала письменное обязательство сохранять конфиденциальность;
(ii) Любому директору, менеджеру, сотруднику названной Стороны или Филиала, который должен быть проинформирован о конфиденциальном характере упомянутых сведений и информации;
(iii) Любому внешнему консультанту Стороны или любому внешнему подрядчику Стороны при условии, что он подпишет письменное обязательство сохранять конфиденциальность;
(iv) Любому финансовому учреждению или биржевому учреждению, когда того требуют правила упомянутого учреждения или фондовой биржи;
(v) Любому административному органу, уполномоченному запрашивать упомянутую информацию, как того требуют действующие законодательство и правила;
(vi) Любому судебному органу компетентной юрисдикции, который может запросить эту информацию;
(vii) Любому потенциально благонадежному доверенному лицу, посвященному полностью или частично в интересы соответствующей Стороны, при условии, что эта Сторона получит от такового доверенного лица письменное обязательство сохранять конфиденциальность. Разглашение названной Стороной любой относящейся к настоящему Соглашению информации потенциально благонадежному доверенному лицу требует предварительного разрешения от КОМПАНИИ А, как предписано соответствующими Соглашениями об Объединении. Названное доверенное лицо должно дать обязательство, заключив соглашение о конфиденциальности, не разглашать названную информацию третьим сторонам ни при каких обстоятельствах. Заверенная копия такого соглашения о конфиденциальности должна быть передана КОМПАНИИ А соответствующим Партнером до разглашения названной информации.
СТАТЬЯ 20 – ИНТЕЛЛЕКТУАЛЬНАЯ СОБСТВЕННОСТЬ
20.1 Право собственности
Каждая Сторона остается единоличным владельцем своих патентов, знаний и всех данных, которыми она владеет, независимо от их использования по настоящему Соглашению.
20.2 Использование и доступность
Несмотря на истечение срока действия настоящего Соглашения или прекращение его действия, любой предмет, который мог бы быть субъектом прав интеллектуальной или промышленной собственности, который был разработан в ходе Добычи нефти и газа на Участке, может быть использован каждой из Сторон и их Филиалами при условии, что последние подписали соглашение о конфиденциальности.
Каждая Сторона и ее Филиалы имеют право использовать интеллектуальные права и права собственности бесплатно и с этой целью им предоставляется неисключительная лицензия для их собственной деятельности и для деятельности, которую они будут вести и в которой данная Сторона или один из ее Филиалов будут иметь интерес, при том понимании, что в этом случае третьи стороны или Филиалы, участвующие в названных операциях, предварительно подпишут соглашение о конфиденциальности.
