5.1. Prices. The prices and payment terms for each Software license ordered by Reseller shall be as specified in the applicable Sales Order(s) issued by Licensor to Reseller and executed by Reseller. In general, such pricing shall be consistent with the pricing provisions set forth on Schedule 4 attached hereto and made a part hereof.
5.2. Payment Terms. Licensor will issue an invoice to Reseller immediately upon receipt and approval of each Sales Order. All payments will be made in U.S. Dollars, by the earlier of sixty (60) days after receipt of each invoice or five (5) business days after Reseller has received payment by its End Customer, and by wire transfer (SWIFT) to Licensor’s designated account.
5.3. Failure to Pay. If payment of any amount becomes overdue, Reseller may be asked to pay interest at a rate of 1.5% per month (18% per annum) of such overdue amount prorated to the number of days of delay commencing on the day following the due date until the date of actual payment. Reseller shall pay all of Licensor’s costs and expenses (including reasonable attorney’s fees) incurred in connection with the enforcement of its collection rights under this Agreement.
5.4. Pricing and Fee Collection From Customers. Reseller may set the price it charges for the Software at its sole discretion and the difference between Licensor's prices and Reseller’s re-sale prices shall be Reseller’s sole and complete remuneration. It is understood and agreed that Reseller shall avoid such pricing policies as would clearly adversely affect the image and positioning of the Software and/or their competitiveness. Reseller shall have sole responsibility for establishing and collecting all fees and charges applicable to End Customers for the license of the Software and/or any services provided by Reseller in connection therewith. Failure to collect fees from End Customers shall not excuse payment of the fees due hereunder.
5.5. Taxes. Prices exclude any taxes, import duties, sales tax or similar taxes or duties including, without limitation, withholding, customs, privilege, excise, sales, use, value-added and property taxes levied by any country upon Licensor or the Software, as the result of any sale, delivery or use of any Software. Reseller shall be responsible for the payment of all such taxes or duties which may be so levied by applicable laws and to the extent that Reseller is required under any laws to withhold amounts from fees due to Licensor, Reseller shall gross up any amounts due to Licensor so that the net amount paid to Licensor is the amount set forth on the applicable Sales Order.
5.6. Expenses. Except as expressly provided in this Agreement, each party shall bear all its own expenses incurred in rendering performance of this Agreement.

5.1. Цены. Цены и условия оплаты за каждую лицензию на Программное обеспечение, заказанную Торговым посредником, указываются в соответствующих Заказах на продажу, направляемых Лицензиаром Торговому посреднику и исполненных Торговым посредником. В целом ценообразование должно осуществляться в соответствии с положениями о ценах, изложенными в Приложении 4 к настоящему Соглашению, которое является его неотъемлемой частью.
5.2. Условия оплаты. Лицензиар будет выставлять счет Торговому посреднику сразу после получения и подтверждения каждого Заказа на продажу. Все платежи должны осуществляться в долларах США в течение шестидесяти (60) дней после получения каждого счета или в течение пяти (5) рабочих дней с момента получения Торговым представителем оплаты от Конечного клиента, в зависимости от того, что наступит раньше, банковским переводом (по системе SWIFT) на счет, указанный Лицензиаром.
5.3. Невыполнение обязательств по оплате. При просрочке оплаты любой суммы Торговому посреднику может быть назначена неустойка на просроченную сумму в размере 1,5% в месяц (18% годовых), пропорциональная числу дней со дня, следующего за датой платежа, до даты фактической оплаты. Торговый посредник должен будет оплатить все расходы и затраты Лицензиара (включая разумные расходы на юридическую помощь), понесенные в связи с принудительным исполнением его права на получение оплаты по настоящему Соглашению.
5.4. Ценообразование и получение оплаты от клиентов. Торговый представитель может устанавливать цену на Программное обеспечение по собственному усмотрению, и разница между ценой Лиценизара и ценой перепродажи Торгового посредника будет единственным и полным вознаграждением Торгового посредника. Стороны понимают и соглашаются с тем, что Торговый представитель будет избегать таких политик ценообразования, которые однозначно неблагоприятно повлияют на имидж и позиционирование Программного обеспечения на рынке и/или его конкурентоспособность. Торговый посредник будет нести единоличную ответственность за установление и сбор всех платежей и сборов, применимых к Конечным клиентам за использование лицензии на Программное обеспечение и/или любые услуги, оказываемые Торговым посредником в связи с этим. Невозможность получить оплату от Конечных клиентов не будет поводом не осуществлять оплату, причитающуюся по настоящему Соглашению.
5.5. Налоги. Цены не включают налоги, импортные пошлины, налоги с продаж или аналогичные налоги или пошлины, включая, в числе прочего, взимаемые у источника налоги, таможенные сборы, налоги на право, акцизы, налоги с продаж, налоги на использование, НДС и налоги на имущество, подлежащие уплате в любой стране Лицензиаром или на Программное обеспечение в результате продажи, поставки или использования Программного обеспечения. Торговый посредник должен будет самостоятельно оплатить все такие налоги или сборы, которые могут быть начислены в соответствии с действующим законодательством, и если Торговый посредник должен на основании закона удержать какие-либо суммы из причитающихся Лицензиару выплат, то Торговый посредник увеличит причитающуюся Лицензиару сумму таким образом, чтобы чистая сумма, подлежащая уплате Лицензиару, была равна сумме, указанной в применимом Заказе на продажу.
5.6. Расходы. За исключением случаев, прямо установленных настоящим Соглашением, каждая из сторон будет оплачивать собственные расходы, понесенные при исполнении настоящего Соглашения.

Персональные данные
Банк исполняет как российское, так и международное законодательство в области обработки и защиты персональных данных. Действующие и выстраиваемые процессы и продукты Банка в своем дизайне предполагают получение согласий клиентов, контрагентов и работников Банка на обработку их персональных данных, минимизацию использования данных в процессах взаимодействия между работниками и системами Банка и обеспечение концепций security by design и security by default. Банк уделяет особое внимание выстраиванию взаимодействия с контрагентами в рамках реализации совместных продуктов и сервисов, максимально ограничивая использование в информационном обмене персональных данных и защищая их при передаче.
Банк контролирует коммуникации своих работников для предотвращения утечек персональных данных клиентов.
Противодействие мошенничеству
Банк исповедует идеологию нулевой терпимости к противоправным действиям, направленным на клиентов.
Для реализации идеологии Банк:
1) Внедрил и поддерживает процессы фрод-мониторинга для дистанционного банковского обслуживания.
2) Расследует любые попытки кражи денежных средств у клиентов Банка.
3) Взаимодействует с Банком России, другими кредитными организациями, операторами связи и, конечно, органами внутренних дел для обмена информацией о действиях мошенников и своевременного предотвращения мошеннических действий.
4) Реализует программу повышения защищенности систем и данных, корректируемую ежегодно и полностью обновляемую раз в 3 года.
Результатами этой деятельности стали более 100 предотвращенных попыток хищения денежных средств у юридических и физических, что сохранило десятки миллионов рублей клиентов.
По итогам 2018г. удалось предотвратить большинство попыток фрода. В операциях по юридическим лицам было предотвращено хищение 38 млн руб. или 99% от общего объема возможных хищений. В операциях по физическим лицам удалось сохранить 74 млн руб. или 98% от общего объема фрода.
Кибербезопасность (классическая информационная безопасность)
Банк осознает цифровизацию криминального мира и растущий уровень киберугроз, постоянно совершенствуя используемые средства обеспечения информационной безопасности. Так, в 2018г. стартовал пул проектов по полному обновлению средств защиты информации Банка. Применяемый подход Банка подразумевает выбор систем из лидеров рынка путем сравнения с использованием реальных и наиболее актуальных вирусов и сигнатур атак.
Банк реализует концепцию эшелонированной защиты, предусматривающую дублирование средств защиты информации на разных уровнях IT-инфраструктуры. Так один из проектов подразумевает замену классического антивируса на решение нового поколения, основанное на поведенческом, а не сигнатурном анализе запускаемых программ и файлов.
Завершение всего пула проектов запланировано в первом полугодии 2020г., однако по результатам 2018г. Банк успешно отразил 396 целенаправленных атак, ориентированных на хищение денежных средств.
Отдельное внимание Банк уделяет мониторингу за состоянием информационной безопасности и реагированию на инциденты. В Банке успешно функционирует security incidents response team, ежедневно обрабатывающая и анализирующая десятки событий, помеченных средствами защиты как подозрительные. Вместе с этим Банк готовит новую платформу для обработки событий информационной безопасности и выявления инцидентов с применением нейронных сетей для повышения качества детектирования и технологий обработки больших данных для быстрого проведения ретроспективного анализа.

The Bank obeys both Russian and international personal data processing and protection laws. The result of those activities was prevention of over 100 attempts of stealing money from legal entities and individuals that saved tens of millions roubles to customers.
The 2018 year results demonstrate that most fraud attempts have been successfully prevented. In legal entities operations steal of 38 mln. roubles was prevented, which is 99% of the total amount of potential frauds. In individuals operations steal of 74 mln. roubles was prevented, which is 98% of the total amount of frauds.
Cybersecurity (classic information security)
The Bank understands digitalization of the criminal world and the growth of cyber threats continuously improving the means of cyber security provision. For example, a pool of projects for complete upgrade of means of protecting the Bank's information was launched in 2018. The approach used by the Bank assumes selection of systems provided by market leaders through comparison by using real and the most recent viruses and attack patterns.
The Bank implements the concept of staged protection that assumes duplication of information protection means at various levels of IT-infrastructure. For example, one of the projects assumes substitution of classic anti-virus software with a new generation solution based on behavioural and not on pattern analysis of the launched programs and files.
The whole pool is set to be completed in the first half of year 2020, however based on the results of 2018 the Bank successfully fought off 396 targeted attacks aimed at stealing money.
The Bank pays special attention to monitoring the information security state and incident response. The Bank successfully operates a security incidents response team that on a daily basis processes and analyzes dozens of events marked as suspicious by security measures. At the same time, the Bank is preparing a new platform for processing information security events and detecting incidents using neural networks to improve the quality of detection and big data processing technologies for rapid retrospective analysis.

People are fortunately different. They differ in their uniqueness or their appearance. But people respond differently to drugs as well. In one case the drug is effective, in the other case it is not. Some patients develop stronger side effects, others none, although receiving the same doses of medication. Until now less is known about the reason of these differences. One reason may be the result of different speed at which the drugs are degraded or excreted. These differences may be hereditary.
There are many parts of the genetic material that appear in different forms (genetic polymorphisms). In some of these sections even minimal changes can permanently change the activity of certain endogenous proteins (enzymes). These transformations may affect exhaustion or transport of substances in different tissues and therefore can influence the effect of a drug. Determination of these genetic characteristics can be conducted by the laboratory from different tissue samples, e.g. from blood cells. The test of inherited genetic differences which can affect individual responses to drugs is called pharmacogenetic examination.
The long-term objective is to improve and to individually adapt the therapy of patients in the future.
Furthermore, samples and data collected and stored in the biomaterial bank will be utilized for research purposes and tested for markers which could support the research, e.g. for treatment with atezolizumab, side effects, ovarian cancer und related diseases and your diagnosis. This research can include, using tumor material, the analysis of proteins, RNA or non-hereditary factors (factors not passed on within the family) as well as tumor DNA.
In addition, samples can be used to support researchers with the following questions:
- For better understanding how and why female pelvic tumors vary from person to person
- Development of new therapies of female pelvic tumors
- Development of better methods to prevent diseases or to start treatment earlier
- Development or improvement of diagnostic tests for the diagnosis and to learn more about your disease. This should support to identify the appropriate therapy for each individual patient.
- To better understand the individual differences in response to drugs or their side effects, the influence of genetic factors concerning uptake, distribution in body, effect as well as side events and degradation and excretion of drugs and their degradation products will be assessed.
