Sklapaju sljedeći dogovor u vezi suradnje u Republici Hrvatskoj
§ 1 Preambula
Tvrtka X ima poduzeće čija je djelatnost planiranje izgradnje i eksploatacija vjetroelektrana. Projektni partner ima poduzeće koje radi na području metalnih konstrukcija. Raspolaže sa informacijama i osobnim kontaktima na bazi kojih može uspješno surađivati kod kupnji zemljišta, planiranju i građenju vjetroelektrana u Hrvatskoj (u nastavku zvani Projekt).
Sve što se odnosi u tom ugovoru na projektnog partnera važi i za sve partnere poslovodstvo i treće osobe.
§2 Radno područje /troškovi projekta
1. Projektni partner će biti u koordinaciji sa SeeB-om u skladu sa prilogom 1, osigurati parcele za koje može dobiti građevinsku dozvolu sa ciljem izgradnje i eksploatacije vjetrolelektrana sa strane Tvrtka X i projektnog partnera.
U ove aktivnosti uključeno je: osiguranje koordinacije i rješavanje imovinsko-pravnih odnosa s pravom potpisa ugovora o korištenju tih zemljišta, npr.s općinskim vlastima. Višekratne ugovore o korištenju usklađivat će Tvrtka X zbog lakšeg financiranja projekta koji će se sklapati pod imenom nove družbe (SPC=Single, Purpose, Company) koja će biti formirana samo za tu namjenu. Ugovori trebaju predviđati i mogućnost prijenosa proizašlih prava i na treće osobe. Formiranje SPC kompanije treba predvidjeti i jednaka prava i obveze iz ovog ugovora.
2. Tvrtka X će kao konzultant raditi na planiranju i realizaciji projekata u svim fazama i bit će odgovorna za praćenje aktivnosti projektnog partnera za sve tehničke aktivnosti kako slijedi:
a) Mjerenje vjetra: izbor lokacije, utvrđivanje visine mjerenja
b) Analiza lokacije, izbor odgovarajuće visine gradnje i snage vjetrenjača prema tehničkim i ekonomskim kriterijima
c) Micro-Siting vjetrenjača na planiranim lokacijama
d) Savjetovanje oko flore i faune te emisije
e) Analiza postojećeg stanja dalekovodne mreže i potrebnih aktivnosti za izgradnju
f) Savjetovanje kod financiranja projekta i način formiranja
3. Tvrtka X će konzultantske aktivnosti koordinirati iz Njemačke
4. Tvrtka X će obuhvatiti sve aktivnosti koordinacije sve do puštanja vjetroelektrane u pogon, kao npr:
• Osiguranje parcela (ugovori o najmu, kabelska trasa, pravo na korištenje puteva, izjave o suglasnosti)
• Mogućnost priključka na dalekovodnu mrežu (stupanje u kontakt sa opskrbljivačima električne energije)
• Praćenje same izgradnje (kontakt sa općinama i ostalim državnim organima)
• Koordinacija o sklapanju ugovora (ugovor o napajanju i priključku na mrežu)
• Koordinacija izgradnje vlastitog Ureda za planiranje i razvoj u Hrvatskoj
• Osposobljavanje tima za izradu Studija utjecaja na okoliš pri dobivanju građevinske dozvole
• Pomoć kod pribavljanja sredstava iz razvojnih fondova
• Suradnja kod odabira izvođača i pregovaranje s njima
• Nadzor nad gradnjom u suradnji sa voditeljem gradnje od strane Tvrtka X (naplaćuje se posebno)
5. Troškove ekspertiza vještaka te korištenje usluga drugih snosi poslovni partner nakon što se prethodno usuglase. Troškove Ureda, putne troškove u Republici Hrvatskoj snosi projektni partner na bazi dokumenata.
§ 3 Projekti
1. U redovnim vremenskim terminima, najmanje jednom mjesečno, projektni partner će izvještavati Tvrtka X-u o aktualnom stanju i aktivnostima projekta.
2. Projekti po tom ugovoru moraju biti u pisanom obliku (stavljeni na listu) koju prethodno potvrdi Tvrtka X. Tvrtka X bi trebala dobiti tu listu najkasnije 4 tjedna od potpisa ovog ugovora.
3. Zahtjev za proviziju priznaje se, ukoliko će projekt biti izveden potpuno i uspješno, tj. izgrađena vjetroelektrana mora biti puštena u pogon.
§ 4 Plaćanje
Tvrtka X prima za svoje aktivnosti savjetovanja, koordinacije i upravljanja mjesečnu naknadu u visini paušala od 5.000 Eur-a bruto (?) (sa zakonskim davanjima) koje dospjevaju osmog (8) dana sljedećeg mjeseca.
U tom paušalu nisu uključeni troškovi točke 5 paragrafa §2. Plaćanje će prestati sa puštanjem posljednje vjetrenjače u pogon.
Na primjer , ako se gradi vjetroelektrana u suradnji sa Tvrtka X-om, Projektni partner obvezan je isplatiti Tvrtka X jednokratnu proviziju u visini 50.000,00 Eur-a po 1 MW nominalne snage izgrađenoga polja sa zakonskim davanjima.
Ukoliko Tvrtka X sudjeluje u sufinanciranju izgradnje projekta vjetrenjače te se uz njezinu pomoć isplaćuje, Tvrtka X pripada dodatna provizija u visini 0,75% svote financiranja.
Pravo za proviziju nastaje kako slijedi:
1/3 na početku gradnje zajedničkog vjetropolja, najkasnije do potpisivanja ugovora o prijenosu prava na treće osobe.
2/3 prilikom pokretanja vjetropolja, plaćanje u roku 4 tjedna
Provizija se umanjuje za vrijednost paušalnog iznosa iz točke 1.
Prema prijedlogu Tvrtka X postoji mogućnost da se umjesto isplate provizije pretvori u vlasničku strukturu. U tom slučaju Tvrtka X umjesto zahtjeva za plaćanje po točki 2 pripada 20 % svih prava i obaveza u vlasničkoj strukturi.
§5 Načela suradnje
1. Obadvije ugovorne strane izvode vlastite aktivnosti razdvojeno i neovisno. Među ugovorenim stranama prema tom sporazumu ne nastaje nikakvi društveni ili radni odnos
2. Niti jedna strana nije ovlaštena da zastupa drugog partnera prema traćim osobama osim ako ima ovlaštenje da izvodi pojedine aktivnosti.
§ 6 Čuvanje podataka od konkurencije
1. Projektni partner se obvezuje čuvati sve poslovne i tehničkih informacija koje se odnose na zajedničke projekte. Ova obaveza vrijedi kako za vrijeme trajanja ugovora tako i poslije isteka ugovora.
2. Poslovnu dokumentaciju, koju je projektni partner primio od strane Tvrtka X treba čuvati i u slučaju zahtjeva Tvrtka X vratiti je. Sve kopije ovih dokumenata može projektni partner zadržati isključivo za namjenu arhiviranja.
§ 7 Trajanje nagodbe
1. Ovaj ugovor vrijedi od 1.01.2008. god. I svaka strana može ga raskinuti u roku od 3 mjeseca do kraja kvartala. Poslije 2 i pol godine se ovaj otkazni rok se povećava na 6 mjeseci do kraja kvartala. Unatoč raskidu ugovora ostaju važeći zahtjevi za proviziju na osnovu projekta, koje je Tvrtka X potvrdila u vrijeme kad je ugovor bio na snazi.
2. Po završetku ovog ugovora, projektni partner će sve informacije, nacrte, ugovore i sl. za koje je saznao u vezi sa projektima u razvoju u kratkom roku vratiti Tvrtka X . Sve ekspertize vještaka , nacrtna dokumentacija, su u vlasništvu SeeBE. Projektni partner neće izvoditi prava na njih bez obzira na pravnu osnovu.
§ 8 Prijenos prava i obaveza prema iz Ugovora
Tvrtka X ima pravo prenijeti prava i obaveze koje proizlaze iz ovog Ugovora djelomično ili u cjelini na jednu ili više trećih osoba između ostalog na firme kćerke ili sestre. Projektni partner suglasan je s ovim odredbama.
§ 9 Promjene
Za promjene i dopunjenje ovog ugovora potreban je pismeni akt obiju strana. Prijenos prava i obaveza projektnog partnera moguće je samo uz suglasnost Tvrtka X.
§ 10 Rješavanje sporova
U slučaju da neke odredbe iz ovog ugovora nisu važeće prema Zakonskim propisima, odnosno ako nešto nije regulirano (propisano) ostale odredbe ostaju važeće. U tom slučaju obadvije strane se obvezuju da će nadoknaditi ne važeću ili neizvedivu odredbu sa dopustivim važećim dogovorom, koji je najbliži izvornim namjerama obadviju strana. Isto vrijedi i u slučaju nedostatka pravne regulative.
§11 Nadležnost suda
Važeći Zakon je Zakon Republike Njemačke odnosno pravo EU . Za obadvije strane , koje izjavljuju, da su poduzetnici u smislu zakona o gospodarskim odnosima, je nadležan sud u Beču.

form the following agreement with regards to cooperation in the Republic of Croatia
§ 1 Preambule
Company X is a company whose activity is the planning, construction and utilisation of wind turbines. The Project partner has a company which operates in the field of metal constructions. This company has access to information and has personal contacts with which it can successfully cooperate in the areas of land purchase and the planning and construction of wind turbines in Croatia (hereafter referred to as the “Project”).
Everything in this agreement which concerns the Project Partner is also valid for all other third parties and management partners.
§2 Areas of operation/Project costs
1. The Project partner in co-ordination with Company X and in accordance with appendix 1, will secure land parcels for which a construction licence for the purposes of building and utilising wind turbines (with Company X and the Project partner) can be obtained;
These activities include: the defining of location coordinates and the resolving of legal-property issues with the right to conclude agreements regarding the use of land, for example with local authorities. To facilitate the financing of projects Company X will conclude multiple usage contracts under the name of a new company (SPC=Single, Purpose Company) that will be established solely for this purpose. These contracts must foresee the possibility of the transfer of resulting rights to third parties. The establishing of the SPC company must envisage equal rights and obligations from this agreement.
2. Company X will operate as a consultant, working on the planning and realisation of the projects in all stages, and will be responsible for the monitoring of the Project partner as regards to the following technical operations:
a) Wind measuring: Selection of locations, determination of the height of measuring
b) Location analysis, determining the appropriate height of the construction and the wind turbine power with regards to technical and economic criteria
c) The Micro-Siting of the wind turbines on the planned sites
d) Advice regarding flora, fauna and emissions
e) Analysis of the existing state power transmission networks and the need for [their] building
f) Advice regarding the execution and financing of the project
3. Company X will conduct its consulting activities from Germany
4. Company X will undertake all activities until the wind turbine is connected to the grid, such as:
• The securing of the land (rental contracts, the routing of the cables, the right to utilise roads, agreement declarations)
• The possibility of connection to the power-transmission network (connecting to electrical energy suppliers)
• The monitoring of the construction (liasing with local authorities and other state bodies)
• The arrangement of agreement formation (power supply and network connection contracts)
• The arranging of the establishment of a their own private office for planning and development in Croatia
• The training of a team which will carry out a project prior to the granting of a construction license regarding the effect on the environment
• Assistance regarding the supply of materials from development funds
• Co-operation and negotiation with executing parties
• Supervision of the construction in cooperation with the Company X Construction Manager (to be payed separately)
5. The costs of an expert and other services is to be paid by the business partner by prior agreement. Office and travel costs in the Republic of Croatia are to be borne by the Project partner on the basis of documents.
§ 3 The Projects
1. At regular intervals, at least once per month the Project partner shall inform Company X as to the actual state and progress of the projects.
2. The projects according to agreement must be in written form (entered on a list) which Company X has confirmed beforehand. Company X must receive this list not later than 4 weeks from the signing of this agreement.
3. The demand for commission is accepted, as long as the project is completed fully and successfully, that is that the wind turbine is connected to the grid.
§ 4 Payment
Company X receives for its consultant activities, arranging and management a monthly flat rate fee of 5.000 Euro’s gross (?) which (with statutory duties) become due the eight (8) day of the following month.
This flat rate sum does not include costs specified in section 5, paragraph2. Payment will cease the moment the last wind turbine is connected to the grid.
For example, if a wind turbine is constructed in cooperation with Company X the Project partner is obliged to pay Company X a one time commission of 50,000.00 Euro’s per 1 MW of nominal power of the constucted farm with statutory duties.
Should Company X participate in the co-financing of the wind turbine construction project and Company X’s contribute to this project being payed off , Company X is due additional provision to the sum of 0.75% of the sum of the financing.
The right to commission is specified as follows:
1/3 from the beginning of the construction of the joint wind turbine, at the latest up until the signing of the agreement regarding the transfer of rights to third parties.
2/3 the moment the wind farm is put into production, payment within a period of 4 days
The commission is decreased by the value of the flat rate sum from section 1.
In accordance with a recommendation of Company X it is possible that instead of a commission payment being made this can be altered to ownership of part of the structure. In this case instead of Company X making a demand for payment according to section 2, 20% of all rights and responsibilities in the said structures belong to Company X.
§5 Principles of cooperation
1. Both contracting parties act independently and autonomously. There is no working or social relationship between the contracting parties in relation to this agreement.
2. Neither side is authorised to represent the other party with regards to third parties, except where a party has authority to carry out specific activities.
§ 6 The security of data with regards to commercial competition.
1. The Project partner is obliged to secure all business and technical information related to joint projects. This responsibility is valid for the duration of the contract and from the date of its expiry.
2. The business documentation which the Project partner had received from Company X must be kept secure and returned to Company X upon demand. Copies of these documents can be kept by the Project partner solely for archiving purposes.
§ 7 Duration of the agreement
1. This agreement is valid from the 1.01.2008. Each party can terminate the agreement from a period of 3 months before the end of the quarter. After 2 and a half years this termination period is increased to 6 months before the end of the quarter. Despite the agreement cancellation the commission demands regards the project, which Company X confirmed while the agreement was in force, remain valid.
2. Upon the completion of this agreement the Project partner will return to Company X within a short period of time, all plans, contracts, information and other documents received with regards to this project. All expert reports, diagrammatical documentation are the property of Company X. The Project partner will not exercise the rights to these documents irregardless of legal bases.
§ 8 The transfer of rights and responsibilities from the Agreement.
Company X has the right to transfer rights and responsibilities ensuing from this Agreement in part or in full to one or more third parties, daughter or sister companies. The Project partner agrees with these provisions.
§ 9 Alterations.
Changes and alterations to this agreement require the written agreement of both parties. The transfer of rights and responsibilites of the Project partner is possible only with the agreement of Company X.
§ 10 Resolution of disagreements
Should certain provisions in this agreement not be valid according to legal directives, that is if something is not regulated, the remaining provisions remain valid. In this case both parties are obliged to add to the invalid or unregulated provision with an additional valid agreement which is approximate to the intentions of both parties. This is also applicable where there are insufficient legal regulations.
§11 Court jurisdiction
The applicable law is the law of the Republic of Germany, that is, the law of the E.U. For both parties which declare that they are contractors according to the law of economic relations, the responsible court is in Vienna.
