Текст оригинала - английский DISTRIBUTION OF PROFITS
The profits of the LLP in each Accounting Period after taking into account drawings and such reserves as shall be decided by a Special Resolution on the advice of the Auditors shall be divided between and paid to the Members immediately after they have signed the Annual Accounts in respect of that Accounting Period.
If it shall appear at any time that any Member has drawn out more than the amount of drawings authorized pursuant to clause 3 of this Part 6 or more than its his or her profit share in respect of any Accounting Period that Member shall forthwith repay the deficiency to the LLP and until such repayment the amount of such deficiency shall be a first charge on and be set off against future drawings and shall bear interest at 2 per cent per annum over the base rate for the time being of the LLP's bankers from the last day of that Accounting Period until repayment.
BOOKS OF ACCOUNT
All proper and usual books of account and entries therein shall be kept (in either paper or electronic form) by the Members and each Member shall ensure that full and proper entries are duly and punctually made of all business transacted by it him or her or at its, his or her direction on account of the LLP.
Each Member and its, his or her agent or agents and the Auditors shall have access to the said books at all times and shall be entitled to make such copies thereof as they shall respectively think fit.
BANKING
The LLP shall maintain bank accounts with such bankers as the Members shall from time to time decide by Ordinary Resolution.
All LLP monies and securities for monies shall as and when received be paid into or deposited with the LLP's bankers for the credit of the LLP's accounts.
All cheques on such accounts shall be drawn by such one or more signatories as the Members may decide by Special Resolution.
No Member shall be entitled to open any LLP's bank account without the prior consent of at least one other Member.

MEETINGS AND VOTING
MEMBERS MEETINGS
The Members shall meet for the purpose of dealing with LLP matters at times and dates of which at least one week's notice shall be given by any Member to all Members (except in case of emergency).
Save as set out in this Agreement all Members shall be entitled to take part in the management of the LLP.
QUORUM
The quorum for Members' meetings shall be 80% of the Members personally present or by an authorised representative.
VOTING RESTRICTIONS
A Member shall not be entitled to vote on a resolution:
- To give a consent to it or him or her pursuant to clause 6 of Part 4
- To cause its, his or her compulsory retirement pursuant to clause 2.1 of Part 5
- To expel it or him or her pursuant to clause 3.1 of Part 5
A Member who has given notice of resignation pursuant to clause 1.1 of Part 5 shall not be entitled to vote on a resolution to wind up the LLP pursuant to clause 1.1 of Part 8.

При этом до момента такой выплаты данная сумма разницы выплачивается в первую очередь из будущих изъятий прибыли, и на нее насчитываются проценты, исходя из базовой ставки банков ПОО, действующей на момент возникновения обязательства, увеличенной на 2 процента годовых, за период с момента окончания Отчетного периода по дату фактической оплаты.
РЕГИСТРЫ БУХГАЛТЕРСКОГО УЧЕТА
Участники должны вести (в бумажном или электронном виде) все необходимые стандартные регистры бухгалтерского учета, при этом каждый Участник обязан контролировать полное, своевременное и надлежащее отражение всех операций, которые совершаются им или по его указанию в отношении ПОО.
Каждый Участник или его представитель, а также Аудиторы в любой момент имеют право доступа к указанным регистрам. Они могут снимать с них копии на свое усмотрение.
БАНКИ
ПОО может открывать банковские счета только в тех банках, которые Участники установили в Обычном решении.
Все денежные средства и обеспечения, поступающие в пользу ПОО, должны зачисляться банком на соответствующие счета ПОО в момент поступления.
Банковские чеки по указанным счетам может выписывать только то лицо или лица, которые уполномочены Участниками в Специальном решении.
Участник не имеет права открывать ПОО банковский счет без предварительного согласия, по крайней мере, еще одного Участника.
Часть 7
СОБРАНИЯ И ГОЛОСОВАНИЕ
СОБРАНИЯ УЧАСТНИКОВ
Участники проводят собрания по вопросам деятельности ПОО на дату и время, о которых Участник должен уведомить других Участников не менее чем за одну неделю (кроме экстренных случаев).
Все Участники имеют право участвовать в управлении ПОО, за исключением случаев, предусмотренных данным Соглашением.
КВОРУМ
Для принятия решения на собрании должно присутствовать не менее 80% Участников, которые могут находиться лично или быть представленными своими уполномоченными представителями.
ОГРАНИЧЕНИЯ ПО ГОЛОСОВАНИЮ
Участник не имеет право принимать участие в голосовании по следующим вопросам:
- о получении согласия в соответствии с пунктом 6 Части 4;
- о своем принудительном выходе из состава Участников в соответствии с пунктом 2.1 Части 5;
- о своем исключении в соответствии с пунктом 3.1 Части 5.
Участник, предоставивший уведомление об отставке в соответствии с пунктом 1.1 Части 5, не имеет права принимать участие в голосовании по вопросу о ликвидации ПОО в соответствии с пунктом 1.1 Части 8.
