У меня получается что-то вроде: вне зависимости от мер, которые компания может предпринять в отношении нарушившего обязательства акционера либо мер, которые третьи лица могут предпринять в отношении руководства компании, в соответствии с законодательством.

Во-первых, я не вполне уверен в адекватности моего перевода. Во-вторых, я не вполне понимаю смысл этого положения.
