Article 1. – Objet du contrat
Le consultant collaborera en tant que sous-traitant au développement d’affaires pour le compte de XXX.
Afin d’exclure toute doute, il est interdit au consultant de conclure des contrats au nom de XXX. Il s’ensuit qu’il est interdit au consultant de négocier, d’établir ou de signer des contrats au nom de XXX.
Article 2. – Indépendance
Le consultant accomplira ses tâches totalement indépendamment et déterminera lui-même dans quelles circonstances et sous quelles conditions de temps de travail, de manière d’exécution de sa mission et d’instruments de travail, il exécutera son mandat.
Le consultant détermine lui-même les moments auxquels il prendra ses vacances, sans charges additionnelles pour XXX.
Pour autant que XXX donne des indications ou directives en rapport avec l’exécution des missions du consultant celles-ci rapporteront uniquement à l’exécution des accords contractuels, sans empiéter sur la manière dont le contrat est exécuté, qui relève du pouvoir de décision exclusif au consultant.
Le consultant fera tout son possible afin de promouvoir les intérêts et l’image de XXX, de ne pas s’engager ou avoir d’intérêts dans d’autres affaires et de respecter la législation locale et internationale dans le domaine de la santé et la sécurité.
Article 3. – Obligations du consultant
• Le consultant s’engage à mener les missions acceptées au mieux de ses efforts.
• Le consultant est un entrepreneur indépendant et s’engage à respecter strictement toutes les obligations légales en matière de sécurité sociale et fiscalité applicables aux travailleurs indépendants.
• En case d’empêchement pour le consultant d’accomplir les missions/services convenus, le consultant est tenu d’en avertir sans délai XXX, en précisant la durée prévisible de l’empêchement, ceci afin de pouvoir à la bonne exécution des accords contractuels.
• Cette convention ainsi que les prestations de services qu’elle contient ne pourront être attribuées ni déléguées à un tiers sans le consentement préalable de XXX.
Article 4. – Règles de conduite – Confidentialité
Le consultant reconnaît qu’il est astreint au secret par XXX pour toutes les particularités concernant l’exercice de ses fonctions.
Tant durant l’exécution du présent contrat de collaboration qu’après la cessation de celui-ci, le consultant s’abstiendra de faire toute communication, directement ou indirectement, sous quelque forme que ce soit, à propos de ou ayant un rapport avec les particularités de l’exercice de sa mission.

INDEPENDENT COLLABORATION AGREEMENT
BETWEEN:
The company XXX, with their head office at XXX and represented by Mr. NW in his capacity as General Manager - hereinafter referred to as “XXX”.
AND:
Mr. X, consultant, resident at XXX, hereinafter referred to as "XXX".
UNDERTAKE THAT:
• To accomplish their aims, XXX wishes to call upon the services of the consultant on a sub-contractual basis ;
• The consultant wishes to, and is in a position to, supply services on a sub-contractual basis;
• Consequently, the parties wish to collaborate on a reciprocally independent basis. Therefore they wish to establish in this agreement, the means by and conditions under which their totally independent collaboration is concluded.
IN LIGHT OF THIS, THE FOLLOWING IS AGREED:
Article1. – Purpose of contract
The consultant will collaborate on a sub-contractual basis for business development on behalf of XXX.
So to remove all ambiguity, the consultant is prohibited from concluding contracts in the name of XXX. It follows that the consultant is prohibited from negotiating, establishing or signing contracts in the name of XXX.
Article 2. - Independence
The consultant will discharge their duties completely independently, and will determine for themselves the circumstances, working hours, methods and instruments necessary to execute their mandate.
The consultant will determine for themselves the time when they will take holidays, without additional charges for XXX.
Insofar as XXX gives instructions or directives regarding the duties of the consultant these will only refer to the execution of contractual agreements and not encroach upon the manner in which the contract is executed, leaving the consultant exclusive power over decision making.
The consultant will do all possible to promote the interests and image of XXX, will not engage in or have interest in other businesses and respect all local and international health and safety legislation.
Article 3. – Consultant obligations
• The consultant undertakes to run accepted duties to the best of their ability
• The consultant is an independent entrepreneur and undertakes to strictly respect all those legal obligations with regard to social security and taxation incumbent on self-employed workers.
• In the case of unforeseen difficulty preventing the consultant from accomplishing their duties/agreed services, they are obliged to warn XXX without delay, stating the anticipated duration of the difficulty, so to ensure the satisfactory execution of contractual agreements.
• This agreement, as well as the provisions of service contained therein, can be neither assigned nor delegated to a third party without the prior consent of XXX.
Article 4. – Terms of engagement - Confidentiality
The consultant recognises that they are bound to secrecy by XXX with regard to all details concerning the discharge of their duties.
Both during the time covered by this contract of collaboration and after it has come to an end, the consultant will refrain from divulging, either directly or indirectly and under any form, details about or relating to the discharge of their duties.

L’intervention communautaire en matière de dommage environnemental s’applique pour le caractère transfrontalier des pollutions environnementales, ce qui est le cas de certaines marées noires. Elle s'applique d'autant plus que les réglementations nationales de certains pays membres ne couvrent pas encore la totalité du champ : l'intégration de la notion de responsabilité environnementale dans les systèmes de gestion nationaux est encore loin d'être complète (ex: absence de prise en compte des dommages sur la biodiversité). Enfin, la proposition de directive s’articule avec d’autres dispositions communautaires telles que la Directive-Cadre sur l’Eau de 2000 et la Directive Natura 2000 sur l’Habitat naturel et les Oiseaux sauvages.
Le régime communautaire entend par Dommage Environnemental, «une modification négative mesurable d’une ressource naturelle (espèces, habitats naturels protégés, eaux et sols) ou une détérioration mesurable d’un service lié à des ressources naturelles (fonctions assurées par une ressource naturelle au bénéfice d’une autre ressource naturelle ou du public), qui peut survenir de manière directe ou indirecte» (extrait de la Position Commune du 18/09/03).
Le système précise la nature du dommage environnemental en qualifiant trois catégories de dommages :

RESPONSABILITE ENVIRONNEMENTALE
La question de la responsabilité environnementale pour réparation du dommage environnemental a été soulevée pour la première fois en 1994 par le Parlement européen lors de l’adoption d’une résolution invitant la Commission à concevoir « une proposition de directive concernant la responsabilité environnementale ». Près de 10 ans plus tard, la proposition de Directive (publication du 18/09/03 d’une Position Commune du Conseil sur la responsabilité environnementale) expose comment la Communauté propose de mettre en pratique un grand principe inscrit au Traité de la Communauté Européenne (CE), le principe du pollueur-payeur, selon lequel le pollueur paie le dommage qu’il à causé à l’environnement.
La responsabilité environnementale proposée donne pour première priorité la prise en charge par le pollueur de la remise en état de l'environnement affecté, à défaut une compensation monétaire des dommages environnementaux non réparables.
Translation - English ENVIRONMENTAL DAMAGE
Community level intervention in the sphere of environmental damage reflects the cross-border nature of environmental pollution – as demonstrated by a number of oil slicks. Such intervention also goes further than the national laws of certain member states, who still do not have not have legislation to cover the full scope of the area - indeed the notion of placing environmental responsibility at the heart of national systems is still far from be completed (e.g. the failure to take into account damages with regard to biodiversity). Finally there is a proposal for a directive along with other community measures such as the Water Framework Directive of 2000 and the Water habitats (Natura 2000) Directive on the conservation of natural habitats and of wild flora and fauna.
The community defines Environmental Damage as, “measurable adverse change in a natural resource (species, protected natural habitats, water sources and soil) or a measurable impairment of a natural resource service (that is to say it is assured by a natural resource for the benefit of another either public or natural resource), which may occur directly or indirectly” (extract from the Common Position of 18/09/03).
The system sets out the nature of the environmental damage, categorising it into one of three categories.

ENVIRONMENTAL RESPONSIBILITY
The question of environmental responsibility for the reparation of environmental damage was first raised by the European Parliament in 1994, whilst adopting a resolution that invited the Commission to conceive “a proposal for a directive on environmental responsibility”. Almost ten year later, this proposal for a directive (Common Position of the Council dated 18/09/03 on environmental responsibility) set out how the Community proposed to put in to practice one of the key principles entrenched in the Treaty on the European Community; the principle of the “polluter-pays”, according to which the polluter pays for the damage that they have caused to the environment.
The proposed model for environmental responsibility places, for the first time, a duty on the polluter to return the affected area of the environment to its original state, and imposes financial penalties for all damage that cannot be repaired.

De retour du festival de musiques sacrées de Fez, un groupe d'amis s'arrête à Meknès pour visiter la prison de Moulay Ismaïl. Saisis par l'effrayante beauté de ce lieu, qu’hante le fantôme du sultan bâtisseur, figure incontournable et controversée de l'histoire du Maroc. Entre la narratrice, historienne travaillant sur la monarchie, Ilyas Soufi, spécialiste de philosophie arabe et islamique, les deux couples Casablancais plongés, de par leurs métiers de médecin, de banquier ou de publicitaire au coeur de la société contemporaine, et Nathalie, mezzo soprano passionnée par le répertoire chrétien, les avis divergent, les points de vue aussi. Le sultan est-il ce barbare sanguinaire que décrivent les moines chrétiens? N'y a-t-il pas là une imposture historique ? Parce qu'ils ne sont pas au bout de la conversation, parce qu'ils sont bouleversés par la voix de Nathalie s'élevant dans la pénombre des caves, tous décident de se revoir à Casablanca pour tenter d'apporter des réponses à leurs interrogations sur leurs propres origines.
« La Controverse des temps » fait partie de ces romans dans lesquels on n’entre pas aisément. Les premières pages mâtinées de spiritualité et de poésie arabe se font l’écho d’une controverse autour du sultan Moulay Ismaïl sur lequel travaille la narratrice, Najia. Le choc culturel peut être violent pour un lecteur occidental non initié, mais la beauté des pages lyriques qui s’en suivront ne feront pas regretter la difficulté de cette orée. On mesure alors l’excellence du style de Rajae Benchemsi, intellectuelle marocaine versée dans la littérature. Si les deux personnages principaux Houda et Ilyas tardent à occuper la place centrale, c’est pour mieux préparer leur entrée flamboyante au sein de l’élite marocaine. Outre la peinture majestueuse du sentiment amoureux, « La Controverse des temps » dresse le tableau d’une société au carrefour des cultures, entre Orient et Occident, foi et raison, tradition et modernité, royauté et démocratie, soufisme et philosophie respectivement incarnés par Ilyas et Houda.
L’auteur pose des questions de la façon la plus partiale qui soit, sous forme de joutes intellectuelles entre ses personnages lettrés qui trouvent de multiples occasions de se réunir. Les villes marocaines Meknès, Marrakech, Casablanca, et le patrimoine architectural et historique, en général, ont une place de choix dans ce roman et nous happent par leur discrète aura de mystère. La spiritualité qui irrigue le roman crée un pont entre cérébralité et sensualité, subtilement mêlées. Une oeuvre déconcertante qui nous égare par son caractère mystique et nous ravit par sa magie.

On the return of the Fez sacred music festival, a group of friends stop off in Meknes to visit the Moulay Ismail prison. They are taken by the terrifying beauty of the place that is haunted by the ghost of sultan who built it – a controversial and essential figure in Moroccan History. Between the protagonists : the narrator, a female historian working on the monarchy, Ilyas Soufi, a specialist in Arab and Islamic philosophy, the two Casablancan couples, plunged by virtue of their jobs – doctor, banker or advertising executive – into the heart of modern society along with Nathalie, a mezzo soprano passionate about Christian music. Their opinions differ, as do their perspectives. Was the Sultan the blood-thirsty barbarian that Christian monks describe? Or is this view a historical deception? Their discussion is interrupted by the sound of Nathalie’s voice rising from the half light of the caves, so they decide to meet once again in Casablanca to try to put the answers to their investigations into their original context.
La Controverse des temps is one of those novels that is not easy to get into. The opening pages are a mixture of spirituality and poetry that echo the controversy surrounding sultan Moulay Ismail that the narrator, Najia, is researching. For an uninitiated western reader, the cultural shock of this work can prove violent, but the lyrical beauty contained in the following pages more than make up for the difficulty of this creation. The stylistic excellence of Rajae Benchemsi, a Moroccan intellectual well versed in literature, also comes to the fore. If the two principle characters, Houda and Ilyas are late to take centre stage in the story, then it is to better prepare their flamboyant entry at the heart of the Moroccan elite. Elsewhere, La Controverse des termps majestically depicts the feeling of love and holds up a painting of a society at the cultural crossroads between east and west ; faith and reason ; tradition and modernity ; royalty and democracy ; Sufism and philosophy – antitheses that are personified by Ilyas and Houda respectively.
The author asks questions in the most partial manner possible, under the guise of intellectual jousts between her well-read characters who find multiple occasions to meet up with one another. The Moroccan towns of Meknes, Marrakech and Casablanca along with architectural and historical heritage have a key place in this novel and their discrete aura of mystery seizes the reader. The spirituality that irrigates the novel creates a bridge between the cerebral and the sensual; themes that are subtly intertwined. This is a disconcerting work that leads us by its mystical character and delights us with its magic.

Source text - French La protection des droits individuels et collectifs des citoyens – garantis par le droit international – devrait constituer la priorité des institutions étatiques. Dans les sociétés fragiles, les ONG sont, d’une part, actrices de la défense des droits de l’Homme, leur principale force résidant dans leur capacité à dépasser la posture morale en se plaçant sur le terrain de l’appropriation du droit. Mais elles sont, d’autre part, victimes de la violation des droits qu’elles défendent, le renforcement de leur rôle favorisant les risques d’instrumentalisation ou de répression, et la multiplication des fausses ONG. Pour garantir leur crédibilité et leur efficacité, il convient donc d’adapter les critères d’indépendance (représentativité, démocratie interne, transparence financière) et de les compléter par l’analyse de la finalité affichée par l’ONG et de l’usage qu’elle fait de sa liberté d’expression.
Translation - English The protection of the individual and collective rights of citizens - guaranteed py International law - must be the priority of state institutions. In fragile societies NGOs are, on the one hand, actors for the defence of human rights - their principle power coming from their ability to got beyond the moral position and apply themselves in the appropriation of the law. But they are also, on the other hand, the very victims of violations of the laws that they seek to defend. The reinforcing of their role encourages the risk of exploitation or repression as well as the proliferation of false NGOs. In order to guarantee their credibility and efficiency, criteria of independence (their representation, internal democracy and financial transparency) should be adapted and be complemented with an analysis of the ends that the NGO seeks to achieve and the use that they make of their freedom of expression.
