Di solito si chiama "cessione senza avviamento" o "trasferimento senza avviamento", ma qui non puoi usare queste formule perché c'è goodwill subito dopo (che è appunto l'avviamento), quindi:

assignment in gross without the accompanying goodwill = cessione libera senza il relativo avviamento
