Art. 195
1. Een aandeelhouder kan, voor zover de statuten deze bevoegdheid niet beperken of uitsluiten, een of meer van zijn aandelen vrijelijk overdragen aan zijn echtgenoot of geregistreerde partner, aan zijn bloed- en aanverwanten, in de rechte lijn onbeperkt en in de zijlijn in de tweede graad, aan een medeaandeelhouder en aan de vennootschap.
De kring van personen aan wie de aandeelhouder een of meer van zijn aandelen vrijelijk kan overdragen, kan bij de statuten worden uitgebreid tot zijn bloed- en aanverwanten in de zijlijn, of sommigen van hen, in de derde en vierde graad.
2. Voor iedere andere overdracht dan die welke ingevolge het vorige lid vrijelijk kan geschieden, dienen de statuten een blokkeringsregeling te bevatten.
Art. 197
1. De bevoegdheid tot het vestigen van vruchtgebruik op een aandeel kan bij de statuten niet worden beperkt of uitgesloten.
2. De aandeelhouder heeft het stemrecht op de aandelen waarop een vruchtgebruik is gevestigd.
Art. 260
Indien door de openbaar gemaakte jaarrekening een misleidende voorstelling wordt gegeven van de toestand der vennootschap, zijn de commissarissen naast de bestuurders tegenover derden hoofdelijk aansprakelijk voor de schade door dezen dientengevolge geleden.
De commissaris die bewijst dat zulks niet aan een tekortkoming zijnerzijds in het toezicht te wijten is, is niet aansprakelijk.
Art. 277 [oud recht]
Van de ontbinding van een besloten vennootschap met beperkte aansprakelijkheid geschiedt inschrijving in het handelsregister.
In de gevallen genoemd in het vorige artikel onder (a) en (b) wordt hiervoor zorg gedragen door hen die met de vereffening zijn belast, in de gevallen onder (c) door de curator in het faillissement, in het geval onder (d) door de griffier van het college waarvoor de zaak laatstelijk aanhangig was.

Als binnenlands belastingplichtigen zijn aan de belasting onderworpen de in Nederland gevestigde:
a. naamloze vennootschappen, besloten vennootschappen met beperkte aansprakelijkheid, open commanditaire vennootschappen en andere vennootschappen welker kapitaal geheel of ten dele in aandelen verdeeld is;
b. coöperaties en verenigingen op coöperatieve grondslag;
c. onderlinge waarborgmaatschappijen en verenigingen welke op onderlinge grondslag als verzekeraar of kredietinstelling optreden;
d. hiervoor niet genoemde verenigingen en andere dan publiekrechtelijke rechtspersonen, indien en voor zover zij een onderneming drijven;

Article 195
1. A shareholder has the right, unless the Articles of Association restrict or exclude this right, to transfer freely one or more of his (or her) shares to his (or her) spouse or registered partner, in the direct line without any restriction(s) and in the collateral line in the second degree, to a co-shareholder and to the company.
The circle of persons to whom a shareholder may freely transfer one or more of his (or her) shares may be extended in a provision in the Articles of Association to his or her relatives by blood or affinity in the collateral line, or to some of them, in the third and fourth degree.
2. For any share transfers other than those made freely under the preceding paragraph, the Articles of Association must contain a transfer restriction clause.
Article 197
1. The right to establish a usufruct on a share cannot be restricted or excluded by the Articles of Association.
2. The shareholder is entitled to the voting rights attached to shares on which a usufruct has been established.
Article 260
If the published annual financial statements misrepresent the position of the Company, the supervisory directors alongside the managing directors are jointly and severally liable to third parties for any losses these third parties have consequently suffered.
Any supervisory director who proves that such misrepresentation is not due to any failure in the exercise of his or her supervision is not liable.
Article 277 [repealed law]
The dissolution of a private limited company under Dutch law is entered in the Dutch Trade Register.
In the cases specified in the previous article under (a) and (b), this is done by those charged with the liquidation, in the cases specified under (c) by the receiver appointed for the bankruptcy and in the case specified under (d) by the registrar of the court before which the matter was most recently brought.

a. public limited liability companies, private limited liability companies, open limited partnerships and other entities of which all or part of the capital is divided into shares;
b. cooperatives and associations on a cooperative basis;
c. mutual insurance associations and associations acting as insurers or credit institutions on a mutual basis;
d. associations not mentioned above and legal entities other than those governed by public law insofar as they operate a business;
e. joint-account funds.
