“Joining Date” means the later of:
(i) the Target Formation Date; and
(ii) the date on which the Conditions are fulfilled;

3.2 Non-satisfaction of Conditions
If the Conditions are not satisfied or waived within 3 months of the Target Formation Date, this Agreement shall terminate and all rights and obligations of the Parties shall cease to have effect immediately upon termination.
