Die Konzernbeschaffungsrichtlinie (Corporate Procurement Policy) ist bindend für die
Österreichische Post AG und alle vollkonsolidierte Gesellschaften der Österreichische Post
AG.
Dazu gehören auch Tochtergesellschaften, an deren Eigenkapital die Österreichische Post (direkt oder indirekt) mit weniger als 50 % beteiligt ist, sofern diese Tochtergesellschaften von der Österreichische Post AG kontrolliert werden. Diese Gesellschaften werden nachfolgend in diesem Dokument als „Österreichische Post" oder - ohne die Österreichische Post AG – als „Tochtergesellschaften" bezeichnet. Ausnahmen aus dieser Regelung bedürfen eines Beschlusses durch den Gesamtvorstand.
Die vorliegende Richtlinie gilt für alle Beschaffungsvorgänge ≥ 100.000 € exkl. USt (= „wesentlicher Beschaffungsfall“) und umfasst den gesamten Materialaufwand sowie bezogene Leistungen und Investitionen („Cash Out“). Für Beschaffungsvorgänge < 100.000 € exkl. USt. gelten nachrangig die Regelungen der jeweiligen lokalen Beschaffungsrichtlinie (lokale Beschaffungsrichtline). Die Berechnungsmethode für die Ermittlung des Auftragswerts ist unter 3.1. geregelt.

Smernice o obstarávaní v koncerne (Corporate Procurement Policy) je záväzná pre spoločnosť Österreichische Post AG a všetky plne konsolidované spoločnosti, spadajúce pod spoločnosť Österreichische Post AG.
Patria k nim dcérske spoločnosti, s vlastným imaním, v ktorých je zastúpenie spoločnosti Österreichische Post (priamo či nepriamo) menšie ako 50 %, pokiaľ sú tieto dcérske spoločnosti pod kontrolou spoločnosti Österreichische Post AG. Tieto spoločnosti sú ďalej v tomto dokumente označované buď pojmom „Österreichische Post‟, alebo - bez pojmu Österreichische Post AG - pojmom „dcérske spoločnosti‟. Výnimky z tohto ustanovenia musia byť schválené uznesením predstavenstva spoločnosti.
Táto smernica platí pre všetky procesy obstarávania, ktorých cena je ≥ 100 000 eur bez DPH (= „významný prípad obstarávania“) a zahŕňa celkové materiálne náklady ako aj s nimi súvisiace služby a investície („Cash Out“). Procesy obstarávania, ktorých cena je < 100 000 eur bez DPH, sú v druhom rade podriadené ustanoveniam príslušnej lokálnej smernici o obstarávaní (lokálna smernica o obstarávaní). Metóda výpočtu pre stanovenie hodnoty zákazky je upravená v bode 3.1.

K NÁJOMNEJ ZMLUVE zo dňa 07.07.2013
na Priestory GF55a FF42
Tento dodatok č. 1 k nájomnej zmluve (ďalej len „Dodatok“) sa uzatvára medzi:
(1) EUROVEA, a.s., (s predchádzajúcim obchodným menom spoločnosti Ballymore EUROVEA, a.s.) akciová spoločnosť založená a existujúca podľa práva Slovenskej republiky, so sídlom Pribinova 10, Bratislava 811 09, zapísaná v obchodnom registri Okresného súdu Bratislava I, Oddiel: Sa, Vložka číslo: 2862/B, IČO: 35 825 600, DIČ: 2020286037, IČ DPH: SK 2020286037, konajúca prostredníctvom Radoslava Mokrého, člena predstavenstva a Mgr. Jany Tomovej, člena predstavenstva, oprávnenými konať spoločne (ďalej len „Prenajímateľ“); a
(2) KOTON TEXTILE LIMITED, s.r.o., spoločnosť s ručením obmedzeným založená a existujúca podľa práva Slovenskej republiky, so sídlom Pribinova 8, Bratislava 811 09, zapísaná v obchodnom registri Okresného súdu Bratislava I, Oddiel: Sro, Vložka č.: 89777/B, IČO: 47 209 836, DIČ: 2023785225, IČ DPH: SK2023785225, konajúca prostredníctvom ŞeyhŞamilÇaglar, konateľa spoločnosti, oprávneného konať samostatne (ďalej len „Nájomca“)
(Nájomca a Prenajímateľ ďalej spoločne aj ako „Strany“ alebo jednotlivo „Strana“).
KEĎŽE
(A) Strany uzatvorili dňa 01. Júla 2013 Nájomnú zmluvu(ďalej len „Nájomná zmluva“), ktorou Prenajímateľ prenajal Nájomcovi nebytové priestory, Jednotka č. GF 55 nachádzajúca sa na prízemí Centra s Výpočtovou plochou 417 metrov štvorcových a Jednotka č. FF 42 nachádzajúca sa na prvom poschodí Centra s Výpočtovou plochou 481 metrov štvorcových (ďalej „Priestory“);
(B) Podľa Nájomnej zmluvy Doba uplynie 01. Júla 2016 a Strany sa dohodli na pokračovaní nájomného vzťahu založeného Nájomnou zmluvou za podmienok uvedených v Nájomnej zmluve a v tomto Dodatku;
(C) Strany sa rozhodli upraviť vzájomné práva a povinnosti ako sú uvedené v Nájomnej zmluve a preto vzhľadom na uvedené;
SA STRANY DOHODLI NA NASLEDOVNOM:
1 DEFINÍCIE
Pokiaľ nie je inak definované v tomto Dodatku, slová a výrazy s veľkým začiatočným písmenom používané v tomto Dodatku majú význam ako sú definované v Nájomnej zmluve.
2 PREDMET DODATKU
2.1 Strany sa dohodli, že Nájomná zmluva sa s účinnosťou od 01. Apríla 2016 mení nasledovne:
2.1.1 Odsek 3.1 Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„3.1 Doba Nájmu. Doba Nájmu začína plynúť 01. Júla 2013 (ďalej len ako „Deň začatia nájmu“) a táto Zmluva je uzatvorená na dobu neurčitú (ďalej len "Doba"), pokiaľ neskončí skôr tak, ako je to uvedené výslovne v tejto Zmluve.“
2.1.2 Odsek 12.1 len slovenskej verzie Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
“12.1 Obchodné meno, označenie Nájomcu a štandard výkladov. Okrem prípadov výslovne dohodnutých s Prenajímateľom písomne, Nájomca je povinný prevádzkovať svoju činnosť výlučne pod názvom KOTON. Nájomca súhlasí s tým, že zabezpečí a nainštaluje na náklady Nájomcu všetky písomné a číselné označenia na vchodové dvere Priestorov a tiež ďalšie vhodné označenia schválené Prenajímateľom, pričom takýto súhlas nebude bezdôvodne odopretý, s tým, že žiadne iné označenia nebudú v Priestoroch ani v Centre používané ani povolené. Obsah a veľkosť takých označení, ktoré nie sú obchodným menom Nájomcu, sú predmetom primeraného súhlasu Prenajímateľa. Nájomca je povinný prispôsobiť sezónnu úpravu výkladov Nájomcu, tak aby zodpovedala príslušným fázam ročného obchodného cyklu, a to vždy najneskôr v termínoch stanovených v Prevádzkových pravidlách alebo inak stanovených Prenajímateľom, pričom takáto sezónna úprava výkladov Nájomcu je podmienená predchádzajúcim súhlasom Prenajímateľa. Za týmto účelom je Nájomca povinný poskytnúť Prenajímateľovi koncept sezónnej úpravy vždy najneskôr tri (3) týždne pred začatím príslušnej obchodnej fázy. Prenajímateľ si vyhradzuje právo neudeliť taký súhlas na základe vlastného uváženia alebo udeliť ho podmienečne s určitými zmenami konceptu. Bez ohľadu na akýkoľvek súhlas udelený Prenajímateľom, Prenajímateľ má právo kedykoľvek inštruovať Nájomcu upraviť vzhľad výkladov Nájomcu ako je požadované Prenajímateľom, konajúcim primerane, na náklady Nájomcu.“
2.1.3 Odsek 12.3 len slovenskej verzie Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
“12.3 Štandardy prevádzkovania obchodnej činnosti. Nájomca bude počas Doby udržiavať dohodnutú kombináciu značiek a úroveň služieb, t.j. predaj módnych odevov a doplnkov pre ženy a mužov pod značkou KOTON. Nájomca nevyčlení akýmkoľvek doplnkom alebo iným výrobkom nepredstavujúcim priamo sortiment Nájomcu viac ako 10% (desať percent) plochy Priestorov. Akékoľvek výpredaje alebo iné propagačné aktivity podobnej povahy sú možné len za predpokladu predchádzajúceho písomného súhlasu Prenajímateľa.”
2.1.4 Odsek 12.10 Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„12.10 Spracovanie a uchovávanie dát. Nájomca berie na vedomie, že Prenajímateľ a manažér Centra používajú elektronické a/alebo počítačové spracovanie dát na účely riadenia Centra/Projektu. Prenajímateľ a manažér Centra môžu elektronicky uchovávať a spracúvať informácie vzťahujúce sa k Nájomcovi a tejto Zmluve a Nájomca týmto udeľuje svoj súhlas s uvedeným v súlade a podľa zák. č. 122/2013 Z.z. o ochrane osobných údajov v platnom znení.“
2.1.5 Za odsek 13.8 Nájomnej zmluvy sa pridáva nový Odsek 13.9 Nájomnej zmluvy s nasledujúcim znením:
„13.9 Okrem práv Strán ukončiť túto Zmluvu podľa odseku 13.1, 13.2 alebo 13.3 tejto Zmluvy budú mať Strany právo ukončiť Zmluvu kedykoľvek počas Doby bez uvedenia dôvodu písomnou výpoveďou doručenou druhej Strane s výpovednou dobou tri (3) mesiace (ďalej len “Výpovedná doba“), ktorá začne plynúť prvý deň bezprostredne nasledujúci po doručení výpovede druhej Strane. Táto Zmluva zaniká uplynutím Výpovednej doby a Nájomca je povinný vypratať Priestory a odovzdať ich Prenajímateľovi najneskôr v posledný deň Výpovednej doby, pričom akékoľvek finančné záväzky Nájomcu voči Prenajímateľovi a akékoľvek iné záväzky podľa tejto Zmluvy, ktoré budú splatné do uplynutia Výpovednej doby, kde to vyplýva z ich kontextu zostávajú v platnosti aj po takom skončení Zmluvy a akékoľvek finančné záväzky existujúce pred uplynutím Výpovednej doby sa stávajú okamžite splatnými. V prípade, že Nájomca alebo Prenajímateľ využije právo vypovedať zmluvy podľa tohto odseku 13.9, Prenajímateľ vráti Nájomcovi Zábezpeku/Bankovú záruku Nájomcovi podľa Odseku 11.4/11.9 tejto Zmluvy.
2.1.6 Odsek 14.1 Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„14.1 Právo Prenajímateľa postúpiť. Prenajímateľ je oprávnený postúpiť alebo inak previesť svoje práva a záväzky z tejto Zmluvy a to v časti alebo v celku na akúkoľvek tretiu osobu na základe svojho uváženia. Nájomca týmto výslovne uznáva a súhlasí s oprávnením Prenajímateľa podľa predchádzajúcej vety a zaväzuje sa poskytnúť Prenajímateľovi za týmto účelom akúkoľvek bezvýhradnú súčinnosť k tomu potrebnú alebo vhodnú vrátane podpisu a doručenia akýchkoľvek dokumentov, a to bezodplatne pre Prenajímateľa.“
2.1.7 Odsek 17.5 Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„17.5 Adresy Strán. Nižšie nasledujú adresy Strán pre účely odseku 17.2 vyššie:

2.1.8 Za odsek 17.6 Nájomnej zmluvy v zmysle tohto Dodatku sa dopĺňa nový odsek 17.7 v nasledujúcom znení:
„17.7 Každá zo Strán je oprávnená určiť novú adresu na doručovanie oznámení podľa tejto Zmluvy, a to na základe písomného oznámenia doručeného druhej Zmluvnej strane 14 dní vopred spôsobom uvedeným v tomto článku XVII. vyššie.“
2.2 Strany sa dohodli, že Nájomná zmluva sa s účinnosťou od 01. Júla 2016 mení nasledovne:
2.2.1 Znenie odseku 1.1 Nájomnej zmluvy v časti „Banková záruka“ sa v plnom rozsahu nahrádza nasledujúcim znením:
"Banková záruka" znamená neodvolateľná bezpodmienečná banková záruka s plnením na prvú výzvu vystavená renomovanou bankou (podľa vzoru priloženého k tejto Zmluve ako Príloha 4) v znení akceptovateľnom pre Prenajímateľa na sumu minimálne 66.000 EUR (slovom šesťdesiatšesť tisíc eur), doručená Nájomcom Prenajímateľovi v súlade s odsekom [11.1/5] tejto Zmluvy, s úpravami zohľadňujúcimi požadované zmeny vyššie uvedených čiastok tak, ako to vyplýva z tejto Zmluvy, resp. zmeny iných právnych skutočností;“
2.2.2 Znenie odseku 1.1 Nájomnej zmluvy v časti „Zábezpeka“ sa v plnom rozsahu nahrádza nasledujúcim znením:
"Zábezpeka" znamená zábezpeka uhradená Nájomcom na bankový účet Prenajímateľa vedený v Československej obchodnej banke, a.s., číslo účtu: IBAN: SK87 7500 1542 8800 2561 0913, SWIFT: CEKOSKBX, alebo na iný bankový účet Prenajímateľa písomne oznámený Prenajímateľom Nájomcovi, pričom pre identifikáciu platby uvedie číslo Priestorov a názov spoločnosti Nájomcu, podľa odseku [11.1/6] tejto Zmluvy vo výške 66.000 EUR (slovom šesťdesiatšesť tisíc eur);“
2.2.3 Strany sa dohodli, že Nájomca doručí novú Bankovú záruku na sumu minimálne 66.000 EUR Prenajímateľovi alebo poskytne Zábezpeku v takej výške Prenajímateľovi najneskôr do 13. Júla 2016. V prípade, že Nájomca poruší povinnosť podľa predchádzajúcej vety, Prenajímateľ bude oprávnený (x) účtovať Nájomcovi zmluvnú pokutu tak, ako je to uvedené v odseku 13.6 tejto Zmluvy a/alebo (y) ukončiť túto Zmluvu spôsobom uvedeným v odseku 13.3 tejto Zmluvy.
2.2.4 Odsek 1.1 Nájomnej zmluvy v časti „Odhadované Poplatky za Služby“ sa v plnom rozsahu bez náhrady vymazáva.
2.2.5 Odsek 1.1 Nájomnej zmluvy v časti „Podiel Nájomcu na Poplatkoch za Služby“ sa v plnom rozsahu bez náhrady vymazáva.
2.2.6 Odsek 1.1 Nájomnej zmluvy v časti „Obratové nájomné“ sa v plnom rozsahu bez náhrady vymazáva. Pre vylúčenie pochybností sa Strany výslovne dohodli, že Nájomca nebude povinný hradiť žiadne Obratové nájomné a/alebo akúkoľvek inú sumu, ktorá nie je jasne uvedená v Nájomnej zmluve a v tomto Dodatku.
2.2.7 Odsek 1.1 Nájomnej zmluvy v časti „Index“ sa v plnom rozsahu bez náhrady vymazáva. Pre vylúčenie pochybností sa Strany výslovne dohodli a akceptujú, že žiadny Index sa neuplatní na Nájomné a/alebo akúkoľvek inú čiastku podľa Nájomnej zmluvy.
2.2.8 Znenie odseku 1.1 Nájomnej zmluvy v časti „Marketingový poplatok“ sa v plnom rozsahu nahrádza nasledujúcim znením:
"Marketingový poplatok" znamená poplatok vo výške uvedenej v odseku 7.1 tejto Zmluvy splatný mesačne vopred ako príspevok Nájomcu na marketingové a propagačné kampane Centra. Marketingový poplatok môže byť upravovaný Prenajímateľom na základe súhlasu s takou úpravou daného jednoduchou väčšinou členov Komisie nájomcov;“
2.2.9 Znenie odseku 1.1 Nájomnej zmluvy v časti „Nájomné“ sa v plnom rozsahu nahrádza nasledujúcim znením:
"Nájomné" znamená nájomné za Nájom Priestorov pozostávajúce zo Základného Nájomného;“
2.2.10 Znenie odseku 1.1 Nájomnej zmluvy v časti „Poplatky za služby“ sa v plnom rozsahu nahrádza nasledujúcim znením:
"Poplatky za Služby" znamená poplatky platené Nájomcom Prenajímateľovi za poskytnutie Služieb, ktoré budú vo výške uvedenej v odseku 6.1 tejto Zmluvy“
2.2.11 Znenie odseku 4.1 Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„4.1 Zodpovednosť Prenajímateľa za údržbu a opravy. Prenajímateľ zodpovedá za údržbu a opravy konštrukcií, vonkajších stien, strechy, hlavných spoločných funkčných systémov vrátane distribučnej elektrickej siete a transformačných zariadení, spoločných vodných čerpadiel, meračov (okrem prípadu, že by patrili niektorému z nájomcov) a ventilačných systémov Centra (resp. Projektu), ako aj vonkajších dláždených spoločných priestorov, spoločnej bezpečnostnej infraštruktúry, spoločných plotov a dvier. Náklady takejto údržby a opráv budú zahrnuté v Poplatkoch za Služby a vo vzťahu k Nájomcovi nebudú v tejto súvislosti aplikované žiadne iné poplatky.“
2.2.12 Celý Článok V. (NÁJOMNÉ) Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„5.1 Nájomné. Nájomca je povinný platiť Prenajímateľovi za užívanie Priestorov Nájomné pozostávajúce zo Základného Nájomného.
5.2 Základné Nájomné. Základné Nájomné, ako finančné plnenie, ktoré má byť platené Nájomcom Prenajímateľovi za užívanie Priestorov podľa tejto Zmluvy, bude vypočítané ako suma vo výške 5.572,00 EUR (slovom päťtisícpäťstosedemdesiatdva eur) plus DPH mesačne za Priestory ako celok.
5.3 Úhrada Základného Nájomného. Základné Nájomné bude platené Nájomcom mesačne vopred, počnúc Dňom začatia nájmu, a to na základe faktúry vystavenej Prenajímateľom. Dňom splatnosti Základného Nájomného bude vždy prvý Deň splatnosti nasledujúci po vystavení príslušnej faktúry Prenajímateľom. Nájomca je povinný platiť Základné Nájomné na bankový účet Prenajímateľa vedený v Československej obchodnej banke, a.s., číslo účtu: IBAN:SK37 7500 1792 8210 2502 3393, SWIFT: CEKOSKBX, alebo na iný bankový účet Prenajímateľa písomne oznámený Prenajímateľom Nájomcovi.
5.4 Počiatočné Základné Nájomné. Vypúšťa sa
5.5 Úpravy Základného Nájomného. Vypúšťa sa.
5.6 Obratové Nájomné. Vypúšťa sa.
5.7 Vyhlásenie o Obrate. Nájomca je povinný poskytnúť Prenajímateľovi Vyhlásenie o Obrate v lehote desiatich (10) Pracovných dní po skončení každého príslušného kalendárneho štvrťroku. Vyhlásenie o Obrate bude obsahovať detailný výpočet Obratu a bude riadne podpísané Nájomcom a jeho účtovníkom alebo autorizovaným audítorom. Strany sa výslovne dohodli a akceptujú, že Vyhlásenia o obrate sa poskytujú len na informačné účely a nebudú v žiadnom prípade vykladané ako záväzok platiť obratové nájomné.
5.8 Úhrada Obratového Nájomného. Vypúšťa sa.
5.9 Spor o Vyhlásení o Obrate.Vypúšťa sa.
5.10 Porušenie povinnosti poskytnúť Vyhlásenie o Obrate. Vypúšťa sa.
5.11 Registračné pokladne. Pre transakcie realizované v Priestoroch, alebo z Priestorov, je Nájomca povinný používať výhradne registračné pokladne, na ktorých budú riadne zaznamenané všetky hotovostné a bezhotovostné transakcie realizované so zákazníkmi. Iba také registračné pokladne môžu byť používané v Priestoroch.
5.12 Uchovávanie Záznamov. Nájomca je povinný uchovávať kompletné a presné Záznamy po celú Dobu na mieste schválenom Prenajímateľom, pričom takýto súhlas nebude bezdôvodne odopretý, ibaže by takéto Záznamy boli uložené v Priestoroch. Záznamy týkajúce sa aktuálneho kalendárneho roku a priamo predchádzajúceho kalendárneho roku však budú vždy uchovávané v Priestoroch, ibaže by sa s Prenajímateľom písomne dohodlo inak.
5.13 Kontrola Záznamov. Nájomca je povinný sprístupniť Záznamy v Priestoroch alebo v iných priestoroch v Centre určených Prenajímateľom oprávneným zamestnancom Prenajímateľa a jeho Zástupcom (písomne splnomocneným Prenajímateľom na výkon takej kontroly) na vykonanie ich kontroly po predchádzajúcom oznámení Prenajímateľa doručenom Nájomcovi najneskôr jeden (1) Pracovný deň pred vykonaním takej kontroly, pričom takéto oznámenie nie je potrebné na vykonanie kontroly Záznamov, ktoré sú uchovávané v Priestoroch. Nájomca je povinný umožniť vyššie uvedeným osobám vykonanie takejto kontroly kedykoľvek počas Otváracích hodín, a to v Priestoroch alebo v iných priestoroch v Centre určených Prenajímateľom a poskytnúť týmto osobám všetky dodatočné dokumenty, informácie a/alebo vysvetlenia týkajúce sa Záznamov, ako bude odôvodnene požadované.“
5.14 Dodatočné Obratové Nájomné. Vypúšťa sa.
2.2.13 Odseky 6.1 – 6.6 Článku VI (POPLATKY ZA SLUŽBY) Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„6.1 Poplatky za Služby. Nájomca je povinný platiť Prenajímateľovi za poskytnutie Služieb Poplatky za Služby vo výške 8.345,00 EUR (slovom osemtisíc tristoštyridsaťpäť eur) plus DPH za mesiac za Priestory ako celok.
6.2 Úhrada Poplatkov za Služby. Poplatky za Služby budú platené Nájomcom mesačne vopred, počnúc Dňom prevzatia, a to na základe faktúry vystavenej Prenajímateľom. Dňom splatnosti Poplatkov za Služby bude vždy prvý Deň splatnosti po vystavení príslušnej faktúry Prenajímateľom. Nájomca je povinný platiť Poplatky za Služby na bankový účet Prenajímateľa vedený v Československej obchodnej banke, a.s., číslo účtu: IBAN: SK07 7500 1732 8610 2502 3633, SWIFT: CEKOSKBX, alebo na iný bankový účet Prenajímateľa, ktorý bude písomne oznámený Prenajímateľom Nájomcovi.
6.3 Počiatočné Odhadované Poplatky za Služby. Vypúšťa sa.
6.4 Úhrada Poplatkov za Služby. Vypúšťa sa.
6.5 Ročná úprava Odhadovaných Poplatkov za Služby. Vypúšťa sa.
6.6 Dodatočné úpravy Odhadovaných Poplatkov za Služby. Vypúšťa sa.“
2.2.14 Odseky 7.1 – 6.3 Článku VII. (MARKETINGOVÉ AKTIVITY A MARKETINGOVÝ POPLATOK, ZDRUŽENIE NÁJOMCOV) Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„7.1 Marketingový Poplatok. Nájomca sa bude odo Dňa otvorenia Priestorov podieľať na marketingových a propagačných aktivitách a kampaniach Centra a prispievať na tieto formou úhrady marketingového poplatku vo výške 2.083,00 EUR (slovom dvetisíc osemdesiattri eur) plus DPH na mesiac (ďalej označovaný ako "Marketingový poplatok").
7.2 Úhrada Marketingového poplatku. Marketingový poplatok bude platený Nájomcom mesačne vopred, počnúc Dňom otvorenia Priestorov, a na základe faktúry vystavenej Prenajímateľom. Dňom splatnosti Marketingového poplatku bude vždy prvý Deň splatnosti nasledujúci po vystavení príslušnej faktúry Prenajímateľom. Nájomca je povinný platiť Marketingový Poplatok na bankový účet Prenajímateľa vedený v Československej obchodnej banke, a.s., číslo účtu: IBAN: SK07 7500 1732 8610 2502 3633, SWIFT: CEKOSKBX, alebo na iný bankový účet Prenajímateľa, ktorý bude písomne oznámený Nájomcovi Prenajímateľom.
2.2.15 Odsek 11.3 Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„11.3 Doplnenie Zábezpeky. V prípade použitia Zábezpeky z akéhokoľvek dôvodu, sa Prenajímateľ zaväzuje o tom bezodkladne informovať Nájomcu a Nájomca sa zaväzuje doplniť Zábezpeku do piatich (5) Pracovných dní odo dňa prijatia takéhoto oznámenia. Ak Nájomca nedoplní Zábezpeku do plnej výšky počas vyššie uvedenej doby, Prenajímateľ bude môcť použiť rovnaké opatrenia, ako je uvedené v odseku 11.1 vyššie.“
2.2.16 Odsek 11.8 Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„11.8 Doplnenie Bankovej záruky. V prípade použitia prostriedkov z Bankovej záruky z akéhokoľvek dôvodu, sa Prenajímateľ zaväzuje o tom bezodkladne informovať Nájomcu, a Nájomca sa zaväzuje zabezpečiť obnovenie Bankovej záruky v plnej výške do piatich (5) Pracovných dní odo dňa prijatia takéhoto oznámenia. Alternatívne, Nájomca je oprávnený zabezpečiť vystavenie novej dodatočnej Bankovej záruky na čiastku použitú Prenajímateľom a predložiť túto Prenajímateľovi. Ak Nájomca neobnoví Bankovú záruku v plnej výške počas vyššie uvedenej doby (alebo nezabezpečí novú dodatočnú Bankovú záruku), Prenajímateľ bude môcť použiť rovnaké opatrenia, ako je uvedené v odseku 11.1 vyššie mutatismutandis.“
2.2.17 Odsek 12.7 Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„12.7 Zodpovednosti Prenajímateľa. Prenajímateľ sa zaväzuje počas Doby: (i) zabezpečiť prostredníctvom zamestnancov Prenajímateľa alebo prostredníctvom nezávislých dodávateľov obvyklé a primerané služby tak, aby bola zachovaná vysoká úroveň Centra, vrátane čistenia a správcovských služieb vo vzťahu k Spoločným plochám (vrátane odvozu odpadu a odpratávania snehu), zabezpečenia vykurovania, ventilácie a klimatizácie Priestorov a Spoločných plôch počas štandardných prevádzkových hodín Centra, elektriny v rozsahu potrebnom na bežnú obchodnú činnosť, ďalších médií (vrátane, bez obmedzenia, vody, kanalizácie, vykurovania a osvetlenia), výťahových služieb, dodávky vody, bezpečnostných služieb, ochranných systémov, ktoré zahŕňajú protipožiarne rozprašovače, odsávanie dymu, ventiláciu, a prevádzkovanie a údržbu priamej pohotovostnej linky na požiarnu službu; (ii) udržovať primerané poistenie Centra tak ako je to uvedené v článku VIII.; (iii) udržiavať a vykonávať opravy na Spoločných plochách (vrátane, bez obmedzenia, všetkých upravených terénov Projektu), a všetkých inžinierskych sietí (vrátane, bez obmedzenia, rozvodov tepla, kanalizácie, klimatizačného zariadenia a výťahov); a (iv) vykonávať také opravy strechy, vonkajších stien, podláh, systémov, a ďalších konštrukčných komponentov alebo spoločných zariadení Centra, ktoré si to vyžadujú k tomu, aby bola zachovaná ich prevádzkyschopnosť. Náklady Služieb poskytnutých podľa tohto odseku alebo podľa iných častí tejto Zmluvy budú zahrnuté a hradené Nájomcom ako súčasť Poplatkov za Služby. Za poskytnutie akýchkoľvek dodatočných médií alebo služieb Nájomcovi, ako sú tie zahrnuté v Službách, je Nájomca povinný zaplatiť podľa okolností konkrétneho prípadu priamo poskytovateľom takých služieb, alebo Prenajímateľovi na princípe ad hoc.“
2.2.18 Odsek 13.1 b) Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„(b) Nájomca je v omeškaní s platbou Nájomného, Poplatkov za Služby, Odhadovaných Prefakturovaných poplatkov za služby alebo Prefakturovaných poplatkov za služby, prípadne Marketingového poplatku alebo s plnením akéhokoľvek iného finančného záväzku Nájomcu voči Prenajímateľovi podľa Zmluvy po dobu dlhšiu ako jeden (1) mesiac po lehote splatnosti;“
2.2.19 Odsek 13.3 c) Nájomnej zmluvy sa v plnom rozsahu nahrádza nasledujúcim znením:
„(c) Nájomca je v omeškaní s platbou Nájomného, Poplatkov za Služby, Odhadovaných Prefakturovaných poplatkov za služby alebo Prefakturovaných poplatkov za služby, prípadne Marketingového poplatku alebo akéhokoľvek iného finančného záväzku Nájomcu voči Prenajímateľovi podľa Zmluvy po dobu dlhšiu ako päť (5) dní odo dňa, kedy Nájomca obdrží za týmto účelom od Prenajímateľa upozornenie, a za predpokladu, že Prenajímateľ doručil Nájomcovi dve také upozornenia počas doby ktorýchkoľvek dvanástich (12) po sebe nasledujúcich mesiacov Doby;“
2.3 Ostatné ustanovenia Nájomnej zmluvy zostávajú zachované bez akýchkoľvek zmien a doplnkov.
3 ZÁVEREČNÉ USTANOVENIA
3.1 Tento Dodatok nadobúda platnosť a účinnosť dňom podpisu oboma Stranami a bude tvoriť neoddeliteľnú súčasť Nájomnej zmluvy.
3.2 Tento Dodatok a Nájomná zmluva tak, ako je zmenená ustanoveniami tohto Dodatku obsahuje úplnú dohodu Strán vo veci predmetu tohto Dodatku a Nájomnej zmluvy a nahradzuje akékoľvek a všetky ostatné písomné či ústne dohody uskutočnené vo veci predmetu tohto Dodatku a Nájomnej zmluvy.
3.3 Pokiaľ sa ktorékoľvek ustanovenie tohto Dodatku stane neplatným alebo nevymožiteľným, nebude to mať vplyv na platnosť a vymožiteľnosť ostatných ustanovení tohto Dodatku. Strany sa zaväzujú nahradiť neplatné alebo nevymožiteľné ustanovenie novým ustanovením, ktorého znenie bude zodpovedať úmyslu vyjadrenému pôvodným ustanovením a týmto Dodatkom ako celkom.
3.4 Práva a povinnosti Strán vyplývajúce z tohto Dodatku sa riadia právom Slovenskej republiky.
3.5 Tento Dodatok je vyhotovený v dvoch (2) rovnopisoch v slovenskom jazyku s platnosťou originálu, a v dvoch (2) rovnopisoch v anglickom jazyku s platnosťou originálua každá zmluvná strana obdrží jeden (1) anglický a jeden (1) slovenský rovnopis. V prípade rozporu medzi anglickou a slovenskou jazykovou verziou má prednosť anglické znenie.
3.6 Strany po prečítaní tohto Dodatku týmto potvrdzujú, že obsah Dodatku, vyhlásenia, práva a povinnosti obsiahnuté v tomto Dodatku sú prejavom ich pravej a slobodnej vôle a že tento Dodatok uzavreli na základe vzájomnej dohody, nie v tiesni ani za nápadne nevýhodných podmienok.

This addendum Nr. 1 to the tenancy agreement (thereinafter „Addendum“) is concluded between:
(1) EUROVEA, a.s (with previous company business name Ballymore EUROVEA, a.s.), public limited corporation established and operating in accordance with the law of Slovak Republic, domiciled at Pribinova 10, Bratislava 811 09 and entered in the Register of District Court Bratislava I, Section: Sa, entry Nr: 2862/B, IČO: 35,825,600, DIČ: 2020286037, VAT ID: SK 2020286037, acting through Radoslav Mokrý, member of the Board of Directors and Mgr. Jana Tomova, member of the Board of Directors, authorised to act jointly (thereinafter the „Landlord“); and
(2) KOTON TEXTILE LIMITED, s.r.o., limited trade company, established and operating in accordance with the law of Slovak Republic, domiciled at Pribinova 8, Bratislava 811 9 and entered in the Register of District Court Bratislava I, Section: Sro, entry Nr: 2862/B, IČO: 47 209 836, DIČ: 2023785225, VAT ID: SK2023785225, acting through ŞeyhŞamilÇaglar, agent of the company, authorised to act independently (thereinafter: the „Tennant“)
(The Tennant and the Landlord thereinafter jointly as the „Parties“ or individually as the „Party“).
ON THE BASIS THAT
(A) The parties concluded on 01. July 2013 a Tenancy agreement (thereinafter the „Tenancy Agreement“) by which the Landlord rented out non-residential premises to the Tennant, namely Unit Nr. GF 55 located on the ground floor of the Centre with a calculated area of 417 square meters and Unit Nr. FF 42 located on the first floor of the Centre with a calculated area of 481 square meters (thereinafter the „Premises“);
(B) According the Tenancy agreement the Tenancy period shall expire on 01. July 2016 and the Parties have agreed to continue their tenancy relationship which was established by the Tenancy agreement under the conditions stated therein and in this Addendum;
(C) The Parties have agreed to modify their mutual rights and responsibilities as stated in the Tenancy agreement and therefore, with reference to the above;
THE PARTIES HAVE AGREED ON THE FOLLOWING:
1 DEFINITIONS
Unless expressly defined otherwise in this Addendum, the words and expressions starting with a capital letter in this Addendum carry the meaning as defined in the Tenancy agreement.
2 SUBJECT MATTER OF THE ADDENDUM
2.1 The Parties have agreed that the Tenancy agreement, effective from 01. April 2016, shall be amended as follows:
2.1.1 Paragraph 3.1 of the Tenancy agreement shall be substituted in its full extent with the following:
„3.1 Tenancy Period. The Tenancy Period shall start on 01. July 2013 (thereinafter „Start date of Tenancy“) and this Agreement is concluded for an indefinite period of time (thereinafter “Tenancy Period”), unless it is ended earlier as expressly stipulated by this Agreement.“
2.1.2 Paragraph 12.1 of only the Slovak version of the Tenancy agreement shall be substituted in its full extent with the following:
“12.1 Business name, designation of Tennant and standard of interpretations. Unless expressly agreed personally with the Landlord, the Tennant shall operate his business solely under the name of KOTON. The Tennant agrees that he shall provide for and install at his own costs all written and numerical designations on the entrance of the Premises and also all other applicable designations agreed by the Landlord, whilst such an agreement shall not be unreasonably withheld under the condition that no other designations shall be used and permitted within the Premises and the Centre. The Content and measurements of such designations, which do not constitute a business name of the Tennant, shall be used subject to a reasonable agreement of the Landlord. The Tennant shall arrange the seasonal decoration of the shopping windows of the Tennant in such way that it matches the relevant phases of the annual business cycle and this shall be done within the time periods stated in the Operating regulations or otherwise stated by the Landlord, whilst such seasonal arrangement of the shopping windows of the Tennant is subject to the prior agreement of the Landlord. In view of this, the Tennant shall provide to the Landlord the concept of the seasonal arrangement at the latest always three (3) weeks before the start of the relevant business phase. The Landlord reserves the right not to give such agreement at his own discretion or to give such agreement conditionally with certain changes to the concept. Without prejudice to any agreement being given by the Landlord, the Landlord has the right to instruct the Tennant at tall times to modify the arrangement of the Tennant’s shop-windows, as reasonably requested by the Landlord at the costs of the Tennant.
2.1.3 Paragraph 12.3 of the Slovak version of the Tenancy agreement shall be substituted in its full extent with the following:
“12.3 The standards of business operation. The Tennant shall maintain the agreed combination of brands and level of services, i.e. the sale of fashion clothing and accessories for women and men under the brand of KOTON. The Tennant shall not allocate more than 10% (10 percent) of the business area of the Premises to any accessories or other products that do not directly belong to the range of goods of the Tennant. Any sales or other promotional activities of similar nature are allowed only on the basis of a prior written agreement of the Landlord.”
2.1.4 Paragraph 12.10 of the Tenancy agreement shall be substituted in its full extent with the following:
„12.10 The processing and storage of data. The Tennant takes due note that the Landlord and the manager of the Centre utilize electronic and/or computer data processing within the scope of the Centre/Project management. The Landlord and the manager of the Centre can store and process information relating to the Tennant and this Agreement and the Tennant hereby gives his agreement to the above stated in accordance to Act Nr. 122/2013 of the Code of Laws on the Protection of personal data, as amended“.
2.1.5 A new paragraph Nr. 13.9 of the Tenancy agreement is added after paragraph Nr. 13.8 of the Tenancy agreement with the following wording:
„13.9 In addition to the rights of the Parties to terminate this Agreement according to paragraph 13.1, 13.2 or 13.3 of this Agreement, the Parties are entitled to terminate this Agreement during the Tenancy period at all times without giving a reason, by means of sending a written termination notice to the other Party with a notice period of three (3) months (thereinafter “Notice Period“) starting on the first day following directly the day of the receipt of such notice by the other party. This Agreement shall be terminated on the expiration of the Notice period and the Tennant shall clear out the Premises and return them to the Landlord at latest on the last day of the Notice period, while any financial obligations of the Tennant to the Landlord and any other obligations according to this Agreement, due by the end of the Notice period, where applicable, shall remain payable even after the termination of the Agreement and any financial obligations that existed prior to the expiration of the Notice period, shall become immediately due for payment. In the case that the Tennant or Landlord use their right to terminate this Agreement according this paragraph 13.9, the Landlord shall return the Deposit/Bank guarantee to the Tennant according to paragraph 11.4/11.9 of this Agreement.
2.1.6 Paragraph 14.1 of the Tenancy agreement shall be substituted in its full extent with the following:
„14.1 The right of the Landlord to delegate. The Landlord has the right to delegate or otherwise transfer his right and obligations under this Agreement, partly or as a whole, to any third party and on his own discretion. The Tennant hereby expressly acknowledges and consents to the right of the Landlord and in accordance to the above stated sentence, the Tennant shall provide all necessary and unconditional cooperation with the view of this aim, including signing and sending of any and all documents, without payment, to the Landlord.“
2.1.7 Paragraph 17.5 of the Tenancy agreement shall be substituted in its full extent with the following:
„17.5 The addresses of the parties. Below are the addresses of the parties for the purpose of the above stated paragraph 17.2:

2.1.8 A new paragraph 17.7 shall be included after paragraph 17.6 of the Tenancy agreement in terms of this Addendum with the following wording:
„17.7 Both Parties have the right to designate a new address for the purpose of delivering notices according to this Agreement and this shall be done by delivering a written notice to the other party of the Agreement 14 days in advance by the method stated in this article XVII above.“
2.2 The Parties have agreed that the Tenancy agreement, effective from 01. July 2016, shall be amended as follows:
2.2.1 Paragraph 1.1 of the Tenancy agreement in the part „Bank guarantee“ shall be substituted in its full extent with the following:
“Bank guarantee" means a irrevocable unconditional bank guarantee payable on first notice and issued by a renown bank (based on the template attached to this Agreement as Appendix 4) in a wording that is acceptable for the Landlord in the amount of at least 66.000 EUR (in words: sixty six thousand euros), delivered to the Landlord by the Tennant in accordance to paragraph [11.1/5] of this Agreement, with any arrangements that take the required amendments of the above stated sums that takes into consideration, as applicable by this Agreement, or any amendment of legal factual matters.“
2.2.2 The wording or paragraph 1.1 of the Tenancy agreement in the part „Deposit“ shall be substituted in its full extent with the following:
The "Deposit" means a deposit paid by the Tennant into the bank account of the Landlord in Československá obchodná banka, a.s., account Nr.: IBAN: SK87 7500 1542 8800 2561 0913, SWIFT: CEKOSKBX, or into any account number of the Landlord provided in writing to the Tennant by the Landlord, where for the purposes of payment identification, the Tennant shall indicate the number of the Premises and his Company name [of the Tennant] , according to paragraph [11.1/6] of this Agreement in the amount of 66.000 EUR (in words: sixty six thousand euros) “
2.2.3 The Parties have agreed that the Tennant shall send the new Bank guarantee in the amount of at least 66.000 EUR to the Landlord or shall provide a Bank guarantee in such amount to the Landlord at the latest by 13. July 2016. In the event that the Tennant breaches his obligation as per the previous sentence, the Landlord shall be entitled (x) to charge the Tennant a contractual fine, as stated in paragraph 13.6 of this Agreement and/or (y) terminate this Agreement in the way stated in paragraph 13.3 of this Agreement.
2.2.4 Paragraph 1.1 of the Tenancy agreement in the part „Estimated Service fees“ shall be deleted in its full extent without a replacement.
2.2.5 Paragraph 1.1 of the Tenancy agreement in the part „Share of the Tennant on the Service fees“ shall be deleted in its full extent without a replacement.
2.2.6 Paragraph 1.1 of the Tenancy agreement in the part „Turnover rent“ shall be deleted in its full extent without a replacement. For the elimination of doubt, the Parties expressly agreed that the Tennant shall have no obligation to pay Turnover Rent and/or any other amount that isn’t clearly stated in the Tenancy agreement or in this Addendum.
2.2.7 Paragraph 1.1 of the Tenancy agreement in the part „Index“ shall be deleted in its full extent without a replacement. For the elimination of doubt, the Parties have expressly agreed and accept that there shall be no Index applied to the Rent and/or any other amount as per the Tenancy agreement.
2.2.8 The wording or paragraph 1.1 of the Tenancy agreement in the part „Marketing fee“ shall be substituted in its full extent with the following:
“Marketing fee" means a fee in the amount stated in paragraph 7.1 of this Agreement, payable monthly in advance as a contribution of the Tennant for marketing and advertising campaigns of the Centre. The Marketing fee may be changed by the Landlord based on agreement with such modification, as given by a simple majority of the members of the Committee of Tenants.
2.2.9 The wording or paragraph 1.1 of the Tenancy agreement in the part „Rent“ shall be substituted in its full extent with the following:
“Rent" means the Rent for the Premises, consisting of Base rent;“
2.2.10 The wording or paragraph 1.1 of the Tenancy agreement in the part „Service Fees“ shall be substituted in its full extent with the following:
“Service fees" means fees payable by the Tennant to the Landlord for the provision of Services which shall be in the amount stated in the above paragraph 6.1 of this Agreement“
2.2.11 The wording of paragraph 4.1 of the Tenancy agreement shall be substituted in its full extent with the following:
„4.1 The responsibility of Landlord for maintenance and repairs. The Landlord is responsible for the maintenance and repairs of constructions, outer walls, roof, main common functional systems, including the distribution power network and transformation equipment, common water pumps, meters (not including facilities belonging to any of the Tenants) and ventilation systems of the Centre (or Project), as well as for outer paved common areas, common security infrastructure, common fences and doors. The costs of such maintenance and repairs shall be included in the Service fees and there shall be no other fees in relation to the Tennant.“
2.2.12 All of Article V. (RENT) of the Tenancy agreement shall be substituted in its full extent with the following:
„5.1 Rent. The Tennant is obliged to pay Rent to the Landlord for the use of the Premises, consisting of the Base Rent.
5.2 Base rent. The Base rent, as a monetary payment payable by the Tennant to the Landlord for the use of the Premises according to this Agreement, shall be calculated as a sum in the amount of 5.572,00 (in words: five thousand five hundred seventy two euros) plus VAT monthly for the Premises in their entirety.
5.3 Payment of Base rent. The Base rent shall be payable by the Tennant one month in advance, from the Starting day of the Rent on the basis of an invoice issued by the Landlord. The Due date of the Base rent shall be always on the first Due date following the issuance of the respective invoice by the Landlord. The Tennant shall pay the Base rent into the bank account of the Landlord in Československá obchodná banka, a.s., account Nr.: IBAN:SK37 7500 1792 8210 2502 3393, SWIFT: CEKOSKBX, or into any account number of the Landlord provided in writing to the Tennant by the Landlord.

5.7 Declaration of Turnover The Tennant shall provide to the Landlord a Declaration of Turnover within ten (10) Working days after the end of each applicable calendar quarter. The Declaration of Turnover shall include a detailed calculation of Turnover and shall be duly signed by the Tennant and his accountant or authorised auditor. The Parties have expressly agreed and accept that the Declaration of Turnover shall be provided only for information purposes and shall by no means be interpreted as a commitment to pay Turnover Rent.

5.11 Cash registers For the purposes of transactions in the Premises the Tennant is obliged to use only cash registers that regularly register all cash and non-cash transactions executed with the customers. Only this type of cash registers may be used in the Premises.
„5.12 Storage of Records. The Tennant shall store complete and exact Records throughout the whole Tenancy period at a place authorised by the Landlord, whilst such an authorisation shall not be unreasonably withheld, unless such Records were stored in the Premises. The Records relating to the current calendar year and directly to the preceding calendar year shall be always stored in the Premises, unless it has been agreed differently in writing with the Landlord.
„5.13 Checking of Records. The Tennant shall provide access to the Records within in Premises or other premises in the Centre to authorised employees of the Landlord and his Representatives (authorised in writing for the performance of such check) to perform their check after a previous notice of the Landlord sent to the Tennant at least one (1) Working day before performing such check, whilst such a notice is not mandatory to perform checks of Records stored directly in the Premises. The Tennant shall enable the above stated persons to perform this check at any time during the Opening hours, either in the Premises or in other premises of the Centre designated by the Landlord and he shall give such persons all additional documents, information and/or explanations in relation to the Records as may be reasonably requested.“
5.14 Additional Turnover rent. N/A
2.2.13 Paragraphs 6.1 – 6.6 of Article VI (SERVICE FEES) of the Tenancy agreement shall be substituted in its full extent with the following:
„6.1 Service fees. The Tennant shall pay to the Landlord Fees for the provision of the Services in the amount of 8.345,00 EUR (in words eight thousand three hundred forty five euros) plus VAT monthly for the Premises in their entirety.
„6.2 Payment of Service fees.. The Service fees shall be paid by the Tennant one month in advance, from the Day of entrance on the basis of an invoice issued by the Landlord. The Due date of the Fees for the Services shall be always on the first Due date after the issuance of the relevant invoice by the Landlord. The Tennant shall pay the Service fees into the bank account of the Landlord in Československá obchodná banka, a.s., account Nr.: IBAN: SK07 7500 1732 8610 2502 3633, SWIFT: CEKOSKBX, or into any account number of the Landlord, that will be provided in writing to the Tennant by the Landlord.

2.2.14 Paragraphs 7.1 – 6.3 of Article VII. (MARKETING ACTIVITIES AND MARKETING FEE, COMMITTEE OF TENNANTS) of the Tenancy agreement shall be substituted in its full extent with the following:
„7.1 Marketing Fee The Tennant shall participate on the marketing and advertisement activities and campaigns of the Centre starting from the Day of opening the Premises and shall contribute to them by payment of the marketing fee in the amount of 2.083,00 EUR (in words: two thousand eighty three euros) plus VAT monthly (thereinafter “Marketing fee").
7.2 Payment of Marketing fee. The Marketing fee shall be paid by the Tennant one month in advance, starting from the Day of the opening of Premises on the basis of an invoice issued by the Landlord. The Due date of the Marketing Fee shall be always on the first Due date following the issuance of the respective invoice by the Landlord. The Tennant shall pay the Marketing fee into the bank account of the Landlord in Československá obchodná banka, a.s., account Nr.: IBAN: SK07 7500 1732 8610 2502 3633, SWIFT: CEKOSKBX, or into any account number of the Landlord, that will be provided in writing to the Tennant by the Landlord.
7.3 Annual amendment of the Marketing fee. N/A.“
2.2.15 Paragraph 11.3 of the Tenancy agreement shall be substituted in its full extent with the following:
„11.3 Top-up of the Deposit. In cases where the Deposit is used on grounds of any reason, the Landlord undertakes that he shall inform the Tennant of such use without delay and the Tennant undertakes that he shall top-up the Deposit within five (5) Working days starting from the day of receiving such notification. If the Tennant doesn’t top-up the Deposit in its full amount within the above stated time, the Landlord shall be entitled to use the same measures as stated in paragraph 11.1 above.“
2.2.16 Paragraph 11.8 of the Tenancy agreement shall be substituted in its full extent with the following:
„11.8 Top-up of Bank guarantee. In the case that the financial means from Bank guarantee are used on the grounds of any reason, the Landlord undertakes that he shall inform the Tennant of such use without delay and the Tennant undertakes that he shall ensure the renewal of the Bank guarantee within five (5) Working days starting from the day of receiving such notification. Alternatively, the Tennant is entitled to ensure the issuance of a new additional Bank guarantee for the amount used by the Landlord and to present it to the Landlord. If the Tennant doesn’t renew the Bank guarantee in its full amount within the above stated time (or doesn’t ensure a new additional Bank guarantee), the Landlord shall be entitled to use the same measures as stated in paragraph 11.1 above, mutatis mutandis.“
2.2.17 Paragraph 12.7 of the Tenancy agreement shall be substituted in its full extent with the following:
„12.7 The responsibilities of the Landlord. The Landlord undertakes that during the Tenancy period, he shall: (i) ensure through the employees of the Landlord or through independent suppliers the usual and reasonable provision of services in a manner that maintains the high quality of the Centre, including cleaning and administration services in relation to the Common areas (including collection of litter and clearing of snow), ensuring heating, ventilation, air-conditioning in the Premises and Common areas during the standard operation hours of the Centre; electricity in the full extent necessary for the normal business operation and other utilities (including, but not limited to water, sewage, heating and lighting), elevator services, water supply, security services, protection systems including fire control sprinklers, exhaustion of smoke, ventilation and operation and maintenance of a direct emergency line for fire-fighting services; (ii) maintain an appropriate insurance of the Centre as stated in article VIII; (iii) maintain and perform repairs in the Common areas (including, but not limited to all trimmed terrains of the Project, heat distribution, sewage, air-conditioning equipment and elevators); and (iv) perform such repairs of the roof, outer walls, flooring, systems and other constructional components or common equipment of the Centre as necessary for the up-keep of their operability. The costs of services provided according to this paragraph or according to other parts of this Agreement, shall be included and paid by the Tennant as part of the Service fees. The Tennant shall pay for the provision of any other additional utilities or services beyond those included in the Services, provided to the Tennant, by circumstances of each individual case, directly to the providers of such services or to the Landlord on an ad hoc basis.“
2.2.18 Paragraph 13.1 of the Tenancy agreement shall be substituted in its full extent with the following:
„(b) The Tennant defaulted in payment of Rent, Service fees, Estimated re-invoiced service fees or re-invoiced services fees or in the payment of the Marketing fee or in meeting any other financial obligation of the Tennant to the Landlord according this Agreement, for a period of more than one (1) month after the due date thereof;“
2.2.19 Paragraph 13.3 of the Tenancy agreement shall be substituted in its full extent with the following:
„(b) The Tennant defaulted in payment of Rent, Service fees, Estimated re-invoiced service fees or re-invoiced services fees or in payment of the Marketing fee or in meeting any other financial obligation of the Tennant to the Landlord according this Agreement, for a period of more than five (5) days from the day when the Tennant received a written notice from the Landlord and on the condition that the Landlord issued the Tennant two such notices throughout a period of any twelve (12) consecutive months of the Tenancy Period;“
2.3 The remaining provisions of the Tenancy agreement shall remain in force without any amendments and addendums.
3 FINAL PROVISIONS
3.1 This Addendum shall come into force and effect on the day of signing by both Parties and shall constitute an integral part of this Tenancy agreement.
3.2 This Addendum and the Tenancy agreement, as amended by the provisions of this Addendum, contains the complete agreement of the Parties in the subject matter of this Addendum and Tenancy agreement and it replaces any and all other written or verbal agreements carried out in the subject matter of this Addendum and Tenancy agreement.
3.3 In the case that any provision of this Addendum becomes obsolete or irrecoverable, this will have no effect on the validity and recoverability of the other provisions of this Addendum. The Parties undertake to replace the invalid or irrecoverable provision by a new provision, the wording whereof shall correspond with the intention expressed by the original provision and this Addendum in their entirety.
3.4 The rights and the obligations of the Parties as per this Addendum shall be governed by the law of the Slovak Republic.
3.5 This Addendum is executed in two (2) counterparts in the Slovak language, effective as originals and in two (2) counterparts in the English language, effective as originals and each party to the agreement shall receive one (1) English and one (1) Slovak counterpart. In the event of conflict between the English and Slovak language version, the English version shall take precedence.
3.6 The Parties after reading this Addendum hereby confirm that the contents of this Addendum, declaration, law and obligation contained therein are the expression of their true and independent will and that they concluded this Addendum on the basis of mutual agreement and not under pressure or significantly disadvantageous conditions.
