Tato smlouva nabývá účinnosti dnem podpisu poslední smluvní stranou.
Všechny spory, které vzniknou z této smlouvy a v souvislosti s ní a které se nepodaří odstranit vzájemným jednáním stran, budou s konečnou platností rozhodovány Rozhodčím soudem při Hospodářské komoře ČR a Agrární komoře ČR v Praze. Strany se zavazují podrobit se rozhodčímu nálezu.
Vztahuje-li se důvod neplatnosti této smlouvy jen na její část, je neplatná jen tato část, pokud z povahy smlouvy nebo z jejího obsahu nebo z okolností, za nichž byla uzavřena nevyplývá, že tuto část nelze oddělit od ostatního obsahu.
Tato smlouva je vyhotovena ve 2 stejnopisech o 2 stranách textu v jazyce českém a 2 stejnopisech v jazyce anglickém, z nichž každá ze stran smlouvy obdrží po jednom stejnopisu z každé jazykové verze smlouvy. V případě jakéhokoli rozporu v českém a ruském textu smlouvy, má vždy přednost český text této smlouvy.
Veškeré změny a dodatky k této smlouvě mohou být činěny pouze písemnou formou.

Настоящий договор вступает силу в день подписания последней из сторон договора.
Любые споры, возникшие из настоящего договора и в связи с ним, которые стороны не смогут решить путем переговоров, будут переданы для окончательного разрешения в Арбитражный суд при Экономической палате Чешской Республики и Аграрной палате Чешской Республики в Праге. Стороны обязуются подчиниться решению суда.
Если причина недействительности настоящего договора относится только к его части, недействительной является только данная часть, если только из характера договора, его содержания или обстоятельств, при которых договор был заключен, не следует, что эту часть нельзя отделить от остального содержания.
Настоящий договор составлен в 2 экземплярах на чешском языке на 2 страницах каждый и в 2 экземплярах на английском языке на 2 страницах каждый, по одному экземпляру для каждой из сторон на каждом из языков. В случае каких-либо расхождений в чешском и русском текстах договора приоритет всегда имеет чешский текст настоящего договора.
Любые изменения и дополнения к настоящему договору должны быть оформлены в письменном виде.

Source text - English 3. CONSULTANT’S WARRANTIES
3.1 The Consultant warrants to XXX that:
(a) it has full capacity and authority to enter into and to perform this Agreement and that this Agreement is executed by a duly authorised representative of the Consultant;
(b) it will discharge its obligations under this Agreement and any Work Order with all due skill, care and diligence including but not limited to Good Industry Practice and (without limiting the generality of this Clause 3.1) in accordance with its own established internal procedures;
(c) in recognition that this Agreement is a contract for the provision of services and not a contract of employment it will be solely responsible for the payment of remuneration and associated benefits, if any, and for withholding and remitting income tax and national insurance contributions (or the relevant local equivalent) for its Personnel in conformance with any applicable laws and regulations.
Translation - Russian 3. ГАРАНТИИ КОНСУЛЬТАНТА
3.1 Консультант гарантирует компании XXX, что:
(a) у него есть все права и полномочия для заключения настоящего Договора и его исполнения, и что настоящий Договор подписывается должным образом уполномоченным представителем Консультанта;
(b) он будет исполнять свои обязательства по настоящему Договору и любому Заказу на выполнение работ, проявляя необходимую квалификацию, старание и усердие, включая в том числе Отраслевую практику добросовестного хозяйствования, и (без ограничения для общности пункта 3.1) в соответствии со своими внутренними процедурами;
(c) признавая, что настоящий Договор является договором на предоставление услуг, а не договором найма, он будет нести ответственность лишь за выплату вознаграждения и связанные выплаты, если они будут иметь место, а также за удержание и перечисление подоходного налога и национальных страховых взносов (или соответствующего местного эквивалента) в отношении своего Персонала в соответствии с любыми применимыми законами и нормативными актами.
