Präambel
Die COMPANY XYZ (RED.) Gruppe ist mit 450 Mitarbeitern, davon 300 in der D/ A/ CH Region, eines der größten
Schweizer IT Unternehmen. COMPANY XYZ (RED.) ist darauf spezialisiert, Kunden hochwertige Lösungen für die
Optimierung von Geschäftsprozessen zu liefern. Basis ist dabei die Business Process Management
Technologie Xpert.ivy, eine führende BPM Suite, auf welcher standardisierte Prozesslösungen gebaut
werden.
Die Firmenbezeichnung / Rechtszusatz ist Beschreibung.
Die Parteien vereinbaren eine gemeinsame Zusammenarbeit mit der maßgeblichen Leitzielsetzung, dass
durch den Partner neue Kundenprojekte akquiriert werden, bei denen die Lösungen sowie damit
einhergehende Leistungen und Services von COMPANY XYZ (RED.) eingesetzt werden.
1. Ausgestaltung der Zusammenarbeit (Tipp-Modell)
1.1 Auftritt
Akquisetätigkeiten werden vom Partner selbständig durchgeführt. Der Partner tritt dabei in der Außendarstellung eigenständig auf.
1.2 Kontrahierung
Der Partner fungiert in der Stellung eines Agenten für COMPANY XYZ (RED.) und vermittelt sog. Leads an diese. Als Lead gilt ein qualifizierter Interessent, der sich für eine spezifische Produktlösung von COMPANY XYZ (RED.) interessiert und welcher in diesem Zusammenhang aus eigenem Antrieb seine Kontaktdaten für einen weiteren Dialogaufbau überlässt und daher mit einiger Wahrscheinlichkeit zum Kunden wird.
Im Rahmen dieser Geschäftsanbahnungsunterstützung beschränkt sich der Partner vorrangig auf die Funktion eines reinen Tippgebers, d.h. seine Tätigkeit gilt mit Vermittlung der zum Zwecke der weiteren Kontaktaufnahme im Sinne o.g. Definition überlassenen Daten an COMPANY XYZ (RED.) als abgeschlossen.
In einzelnen Fällen kann der Partner die Phasen der Geschäftsanbahnung weiterführend bis zum Abschluss begleiten. Dies ist dann der Fall, wenn beide Parteien dieses Vertrages bei Beurteilung eines konkreten Akquisefalles im Vorfeld übereinkommen, dass eine aktive Rolle des Partners im Rahmen des weiteren Dialogaufbaus mit dem jeweiligen Kontakt, die Wahrscheinlichkeit eines Geschäftsabschlusses grundlegend erhöht. Im Rahmen der monatlichen Leadabstimmung zeigt der Partner diese Fälle COMPANY XYZ (RED.) vorab gesondert an (dazu unter Punkt 1.3). Bei Bedarf unterstützt COMPANY XYZ (RED.) bei diesen Fällen in der Phase des sog. Pre-Sales durch entsprechende Maßnahmen. Die Bereitstellung von Personal hierzu muss vom Partner bei COMPANY XYZ (RED.) mit zeitlich koordinierbarem Vorlauf beantragt werden.
Kontrahierungen erfolgen stets in direkter Rechtsbeziehung zwischen COMPANY XYZ (RED.) und dem jeweiligen Kunden.
1.3 Leadabstimmung – und Bewertung
Zur Wahrung etwaiger Provisionsansprüche sowie zur Einstufung der Vermittlungstätigkeit (dazu oben unter Punkt 1.2) zeigt der Partner die von ihm anzugehenden Kontakte COMPANY XYZ (RED.) monatlich vorab an. Die Anzeige hat schriftlich in elektronischer Form an den benannten Ansprechpartner der COMPANY XYZ (RED.) (dazu unter Punkt 4.2) zu erfolgen. COMPANY XYZ (RED.) hat dem Partner die jeweilige Anzeige mit Ablauf von 3 Werktagen entsprechend zu beantworten.
2. Vergütung
2.1 Tippmodell
Sofern der vom Partner im Rahmen der monatlichen Leadabstimmung angezeigte Kontakt durch COMPANY XYZ (RED.) freigegeben wurde (Punkt 1.3), erhält der Partner bei einem nach dem Tipp-Modell vermittelten Endkunden 5% auf den bei COMPANY XYZ (RED.) verbuchten Netto-Lizenzumsatz.
2.2 Weiterführende Akquisetätigkeit
Sofern der vom Partner im Rahmen der monatlichen Leadabstimmung angezeigte Kontakt durch COMPANY XYZ (RED.) freigegeben und in Abstimmung zwischen dem Partner und COMPANY XYZ (RED.) eine weiterführende Akquisetätigkeit durch den Partner vereinbart wurde (Punkt 1.3), erhält der Partner 10% auf den bei COMPANY XYZ (RED.) verbuchten Netto-Lizenzumsatz des vermittelten Endkunden.
2.3 Zahlungsmodalitäten
Sämtliche Provisionsausschüttungen an den Partner erfolgen nach Zahlungseingang bei COMPANY XYZ (RED.). Provisionsansprüche für den jeweils vermittelten Kunden erlöschen spätestens zwei Jahre nach Freigabe des Leads durch COMPANY XYZ (RED.).
3. Vertragslaufzeit, Kündigung
Der Start der Zusammenarbeit beginnt mit Unterzeichnung dieses Vertrages. Der Vertrag wird unbefristet geschlossen und kann von jeder Partei mit einer Frist von drei Monaten gekündigt werden.

Preamble
The COMPANY XYZ (RED.) group, with 450 employees, of which 300 are in German-speaking countries (Germany, Austria, and Switzerland), is one of the largest Swiss IT companies.
COMPANY XYZ (RED.) specializes in delivering customers with high quality solutions for the optimization of business processes.
The basis is Business Process Management
Technology Xpert.ivy, a leading BPM Suite, upon which standardized process solutions are built.

The parties agree to a joint collaboration with the relevant guiding objective, that
new customer projects are acquired by the partners, where the solutions as well as
accompanying services and services of COMPANY XYZ (RED.) are used.
1. Structure of the Cooperation (Ad Hoc Model)
1.1 Appearance
Acquisition activities shall be carried out independently by the partners. Each partner acts independently in representation externally.
1.2 Contracting
The partner shall serve in the position of an agent for COMPANY XYZ (RED.) and delivers so-called “leads.” A lead is considered to be a qualified prospective buyer who is interested in a specific product solution from COMPANY XYZ (RED.) and who has provided contact data for a further conversation in this context, willingly, and who is therefore likely to convert to a customer.
Within the framework of this business development assistance, the partner’s role is limited primarily to the function of an ad hoc advisor whose activity is considered complete when the data used for the purposes of establishing contacts in the sense defined above has been delivered to COMPANY XYZ (RED.).
In individual cases, the partners may continue to accompany and develop relationships through to the stage of contract negotiations. This is then the case if both parties to this agreement, in assessment of the concrete possibility of customer acquisition, agree that an active role of the partner in the context of building further dialog with the particular contact would fundamentally increase the probability that a business transaction will be concluded. In the monthly count and assessment of leads, the partners must indicate these cases separately to COMPANY XYZ (RED.) (see Point 1.3). COMPANY XYZ (RED.) shall support these cases in the so-called Pre-Sales phase through appropriate measures as necessary. The provision of personnel for this purpose must be requested by the partner COMPANY XYZ (RED.) on a coordinated timetable in advance.
Contracting must be completed in a direct legal relationship between COMPANY XYZ (RED.) and the respective customer.
1.3 Leads count and assessment
To maintain any commissions, as well as to classify the provision of leads (above under Point 1.2), the partner must make a monthly report, in advance, to COMPANY XYZ (RED.) of contacts who are targeted for contact. This report must be made in writing in electronic form and sent to the designated contact person of COMPANY XYZ (RED.) (see Point 4.2). COMPANY XYZ (RED.) must provide a reply to the partner regarding the list of contacts within 3 days.
2. Remuneration
2.1 Ad hoc model
To the extent that the contacts listed by the partner in the monthly lead count have been approved by COMPANY XYZ (RED.) (Point 1.3), then the partner receives 5% on the net license revenue booked by COMPANY XYZ (RED.) for the final customer according to the ad hoc model.
2.2 Further acquisition activities
To the extent that the contacts listed by the partner in the monthly lead count have been approved by COMPANY XYZ (RED.) and a further acquisition activity has been agreed between the partner and COMPANY XYZ (RED.) (Point 1.3), then the partner receives 10% on the net license revenue booked by COMPANY XYZ (RED.) for the final customer according to the ad hoc model.
2.3 Methods of payment
All commission distributions to the partners must be made after receipt of payment by COMPANY XYZ (RED.). Commissions for each converted customer expire no later than two years after provisioning the lead to COMPANY XYZ (RED.).
3. Contract duration and termination:
The start of cooperation begins with the signing of this agreement. The contract shall be concluded for for an unlimited duration and may be terminated by either party with a notice period of three months.
